雲南白藥(000538.SZ)委託第三方機構並提供擔保以代持方式認購萬隆控股可換股債
格隆匯12月12日丨雲南白藥(000538.SZ)公佈，2019年10月14日，經公司第九屆董事會2019年第五次會議審議通過，同意以自籌資金7.3億港幣為對價，認購萬隆控股集團有限公司(“萬隆控股”)兩年到期、年利率3%的可換股債券。
公司在辦理認購手續過程中，經諮詢監管機構，目前暫未構成申請ODI的有效條件。經公司充分評估，根據監管要求，最大限度降低本次認購資金成本，實現公司和股東利益最大化，擬委託第三方機構並向其提供擔保以代持的形式推動本次認購事項的開展。
2019年12月10日，公司召開第九屆董事會2019年第八次會議，審議通過了《關於委託第三方機構並提供擔保以代持方式認購萬隆控股集團有限公司可換股債券的議案》。
同意公司向招商銀行股份有限公司昆明分行(“招行昆明分行”)申請開立融資性保函，並委託招銀國際資產管理有限公司擬設立的SP(“Segregated Portfolio”)子基金為代持主體。招商銀行股份有限公司香港分行(“招行香港分行”)收到融資性保函後向擬設立的SP子基金髮放貸款，由擬設立的SP子基金完成對萬隆控股可換股債券的認購，並在完成香港證監會清洗豁免及其他有關審批程序後，按照公司與擬設立的SP子基金協議約定，完成可換股債券的轉股。可換股債券轉股完成或已滿足ODI申請條件後，公司據此申請ODI審批，將資金匯出向招行香港分行還款，並與擬設立的SP子基金在境外(香港)完成股權轉讓。
此次對外擔保的擔保對象是擬設立的SP子基金，擔保總額為7.3億元港幣或可轉股債券認購協議對價(孰低)，擔保期限為自擬設立的SP子基金完成代持之日起不超過24個月。此次對外擔保額度未超過公司最近一期經審計淨資產的10%，公司及子公司已審批的對外擔保額度總金額為15億元，此次新增擔保後，公司對外擔保額度合計約21.5554億元，佔公司最近一期經審計淨資產的比例為10.82%。無需提交股東大會審議。
