熊貓金控(600599.SH)：控股股東收到律師函 要求向中泰信託支付全部回購基本價款9億元及相應回購溢價款、違約金等款項
格隆匯12月11日丨熊貓金控(600599.SH)公佈，公司於2019年12月10日收到公司控股股東萬載縣銀河灣投資有限公司(“萬載銀河灣”)轉來的上海金澄律師事務所向萬載銀河灣發出的律師函，要求萬載銀河灣根據與中泰信託有限責任公司(“中泰信託”)簽署的《股票收益權轉讓與回購合同》的約定，在收到律師函之日起向中泰信託支付主合同項下應付未付的全部回購基本價款人民幣9億元及相應回購溢價款、違約金等款項，否則，上海金澄律師事務所代表律師將依照中泰信託授權採取進一步法律行動，包括但不限於向人民法院申請強制執行，並申請處置公司股票及孳息，以及追究擔保人的擔保責任，不足部分由萬載銀河灣繼續清償。
公司控股股東萬載縣銀河灣投資有限公司(“萬載銀河灣”)於2016年6月24日與中泰信託有限責任公司(“中泰信託”)簽訂了《股票收益權轉讓與回購合同》，約定將萬載銀河灣持有的公司4000萬股無限售流通股份的股票收益權轉讓給中泰信託，萬載銀河灣以及銀河灣國際投資有限公司(“銀河灣國際”)以其持有的公司合計7000萬股無限售流通股份(其中萬載銀河灣4000萬股，銀河灣國際3000萬股)質押給中泰信託，作為萬載銀河灣履行《股票收益權轉讓與回購合同》中股票收益權回購價款支付義務而形成的債權以及在上述合同項下的全部義務和責任的擔保。2018年6月29日，公司實際控制人趙偉平和公司股東銀河灣國際分別將其持有的公司364.2489萬股無限售流通股份和38.234萬股無限售流通股份補充質押給中泰信託。
公司實際控制人趙偉平、萬載銀河灣及銀河灣國際合計持有公司無限售流通股份數7402.4829萬股，佔公司總股本的44.59%。累計質押股份數為7402.4829萬股，佔公司總股本的44.59%，佔其所持公司股份總數的100%。
經瞭解，公司控股股東、實際控制人目前正在積極與債權人及質權人協商化解質押公司股份的相關事項。截至目前，公司日常經營及生產活動正常，上述事項尚未對公司經營造成實質性影響。
