新鴻基公司(00086.HK)擬成立合營收購倫敦物業

格隆匯12月11日丨新鴻基公司(00086.HK)發佈公告,2019年12月10日,新鴻基策略資本(新鴻基間接全資附屬公司)就成立合營公司與Macquarie及DPK訂立股東協議,藉以透過買方(合營公司的間接全資附屬公司)收購待售股份。合營公司由新鴻基策略資本、Macquarie及DPK分別擁有 47.5%、47.5%及5%權益。

2019年12月10日,合營公司間接全資附屬Isabella Properties Limited作為買方與CWT間接全資附屬HNA International Property Investment Company Two Limited作為賣方訂立股份購買協議,據此,買方同意按代價收購目標公司HNA International Property Investment Company Three Limited全部已發行普通股。於股份購買協議日期,目標公司直接持有該物業。該物業位於英國倫敦17 Columbus Courtyard, Canary Wharf, E14 4DA的Building B-4及其擴建部分Building B-4A 且於土地註冊局登記於業權編號EGL382798,稱為 CS Building。

根據股份購買協議,買方已有條件同意收購及賣方已有條件同意出售待售股份,即目標公司(該物業的唯一法定及實益擁有人)的全部已發行普通股。

新鴻基董事會認為,不時尋找合適的投資機會以加強並多元化其投資組合,對新鴻基集團而言實屬有利。經考慮該物業的性質,新鴻基董事會認為,投資於該物業有助進一步發展新鴻基集團的業務。
