格隆匯12月11日丨CWTINTL(00521.HK)發佈公告,2019年12月10日,公司間接全資附屬公司HNA International Property Investment Company Two Limited作為賣方與Isabella Properties Limited訂立購股協議,據此,賣方有條件同意按代價出售,而買方有條件同意按代價購買目標公司全部已發行股份。

於公告日期,目標公司HNA International Property Investment Company Three Limited為公司的間接全資附屬公司。目標公司主要從事物業投資業務。於購股協議日期,目標公司直接持有物業。物業包括一幢位於英國倫敦金絲雀碼頭的甲級寫字樓。該物業位於倫敦金絲雀碼頭Columbus Courtyard 17號B-4號樓(郵編:E144DA)及倫敦金絲雀碼頭Columbus Courtyard 17號擴建部分B-4A號樓(郵編:E144DA),以業權編號EGL382798向土地註冊處登記。

買方為一家就此項交易新成立的投資控股公司。買方由(i)Macquarie European Investment Holdings Limited(由麥格理集團有限公司(澳洲證券交易所股份編號:MQG)全資擁有);(ii)新鴻基策略資有限公司(繼而由新鴻基有限公司(00086.HK)間接全資擁有);及(iii)DPK Quay Limited(繼而由一間私人投資公司DPKRealEstateLLP最終擁有)間接控制。

董事會認為,建議出售事項是出售公司於物業權益的適當時機,這是因為考慮到不利的市場環境,包括英國脱歐、宏觀經濟下行壓力、物業平均投資回報以及本公司需要出售非核心資產以增加其流動資金及現金狀況,使公司能夠償還根據融資協議授出總額約為港幣16.3億元的部分貸款及相關利息付款。

此外,公司認為,物業不會大大提升公司的財務表現及業務優勢,且並無重大投資吸引力。鑑於影響物業的巿場不確定性持續甚至增加,公司在一段時間內一直尋找有興趣買家,目前進行建議出售事項對公司有利。建議出售事項所得款項淨額將主要用作償還部分公司根據融資協議未償還債項及提升公司一般營運資金。
