ST慧球(600556.SH)：標的資產交割義務已全部履行
格隆匯12月11日丨ST慧球(600556.SH)公佈，公司重大資產出售暨關聯交易的方案(“本次重大資產出售”)已經上市公司2019年第一次臨時股東大會審議通過，公司開展了本次重大資產出售的相關實施工作。
《瑞萊嘉譽股權轉讓協議》項下資產過户情況
根據上市公司、瑞萊嘉譽於2019年12月10日簽署的《瑞萊嘉譽資產交割協議》，上市公司、瑞萊嘉譽共同確認《瑞萊嘉譽股權轉讓協議》項下股權轉讓交易的交割日為2019年12月10日，並進一步確認：
自2019年12月10日起，瑞萊嘉譽即成為瑞萊嘉譽股權轉讓交易標的資產的合法所有者，享有並承擔與瑞萊嘉譽股權轉讓交易標的資產有關的一切權利和義務；上市公司則不再享有與瑞萊嘉譽股權轉讓交易標的資產有關的任何權利，也不承擔與瑞萊嘉譽股權轉讓交易標的資產有關的義務和責任，上市公司不再享有和履行股東任何權益和義務，除過渡期收益(如有)外，不得再請求分配其他利潤(如有)。
上市公司與瑞萊嘉譽另行辦理瑞萊嘉譽股權轉讓交易標的資產的過户手續。如瑞萊嘉譽股權轉讓交易標的資產由於變更登記等原因而未能及時履行形式上的過户登記手續，瑞萊嘉譽股權轉讓交易標的資產所涉及的各項權利、義務、風險及收益等仍自2019年12月10日起概括轉移至瑞萊嘉譽，不論該等資產是否已實際過户登記至瑞萊嘉譽名下。
上市公司已履行全部交割義務，瑞萊嘉譽不會就本次交易的交付向上市公司主張違約責任或其他權利主張，包括但不限於瑞萊嘉譽確認其知悉智誠合訊100%股權司法凍結情況，同意在項等司法凍結解除後辦理智誠合訊100%股權變更登記，並不會就該項安排向上市公司主張違約責任或提出其他權利主張。
《九樹物業股權轉讓協議》項下資產過户情況
根據上市公司、九樹物業於2019年12月10日簽署的《九樹物業資產交割協議》，上市公司、九樹物業共同確認《九樹物業股權轉讓協議》項下股權轉讓交易的交割日為2019年12月10日，並進一步確認：
自2019年12月10日起，九樹物業即成為郡原物業100%股權的合法所有者，享有並承擔與郡原物業100%股權有關的一切權利和義務；上市公司則不再享有與郡原物業100%股權有關的任何權利，也不承擔與郡原物業100%股權有關的義務和責任，上市公司不再享有和履行股東任何權益和義務，除過渡期收益(如有)外，不得再請求分配其他利潤(如有)。
上市公司與九樹物業同意，除過渡期收益（如有）外，郡原物業100%股權相關的各項權利、義務、風險及收益等自2019年12月10日起概括轉移至九樹物業，不論是否已實際過户登記至九樹物業名下。
上市公司與九樹物業均已履行全部交割義務，上市公司、九樹物業不會就本次交易的交割向另一方主張違約責任或提出其他權利主張。
綜上，截至公告披露之日，上市公司及交易對方在本次交易項下的標的資產交割義務已全部履行，標的資產各項權利、義務、風險及收益已概括轉移至交易對方，標的資產未實際完成過户登記手續對本次交易不構成實質障礙。
截至公告披露之日，瑞萊嘉譽、九樹物業已分別按照《瑞萊嘉譽股權轉讓協議》、《九樹物業股權轉讓協議》的約定及時向上市公司支付相關股權轉讓價款。
