節能風電(601016.SH)與運達股份共同投資張北二台鎮宇宙營100MW風電場項目
格隆匯12月11日丨節能風電(601016.SH)公佈，2019年12月11日，公司召開第四屆董事會第七次會議，審議通過了《關於公司與浙江運達風電股份有限公司共同投資張北二台鎮宇宙營100MW風電場項目暨關聯交易的議案》(“二台項目”)。其中涉及公司為項目公司張北二台風力發電有限公司(“二台公司”)按股份比例提供項目建設貸款擔保的事項需提請公司股東大會審議批准。
二台項目位於河北省張北縣二台鎮境內，風電場中心距張北縣約30公里。風電場規劃面積為72平方公里，海拔高度1300-1600米。
二台項目規劃容量為100MW，擬安裝40颱風力發電機組，風電場內新建一座220kV升壓站、一棟配套綜合樓，四條35kV集電線路、一條220kV送出線路、一座電蓄熱供熱站及一條站用電備用供電線路。
二台項目已取得張家口市發展和改革委關於張北二台宇宙營風電場100MW項目的核準批覆。
二台項目核准總投資額約7.63億元，單位千瓦的動態投資7634.52元/千瓦。其中項目資本金約1.53億元(不低於國家核准總投資額的20%)，由公司和運達股份40%、60%的持股比例自籌，其中公司出資5807.62萬元(扣除已繳納的300萬元註冊資本)，並根據項目實施進度分步出資;其餘資金即61076.18萬元(不超過國家核准總投資額的80%)擬以二台公司為貸款主體向金融機構申請貸款解決，公司及運達股份將按照各自的持股比例向二台公司提供擔保，公司按照40%的持股比例提供的擔保總額不超過24430.47萬元。
公司與關聯方發生的上述交易是公司日常生產經營的實際需要，項目投產後有利於提高公司在冀北地區的風電市場規模，此次交易股東雙方均以現金出資，同股同權，不存在損害公司及廣大股東特別是中小股東利益的情形，不會對公司造成不利影響。
