贊宇科技(002637.SZ)擬收購金馬油脂60%股權、維頓生物及誠鑫化工各65%股權
格隆匯12月11日丨贊宇科技(002637.SZ)公佈，2019年12月11日，公司與浙江贊宇科地股權投資合夥企業(有限合夥)(“贊宇科地併購基金”)及江蘇金馬油脂科技發展有限公司(“金馬油脂”)股東趙棟成、趙泉泉簽訂了《贊宇科技集團股份有限公司與浙江贊宇科地股權投資合夥企業(有限合夥)關於江蘇金馬油脂科技發展有限公司之股權轉讓協議》，約定公司擬收購贊宇科地併購基金持有的金馬油脂60%股權，交易價格為1.0806億元人民幣；公司與贊宇科地併購基金簽訂了《贊宇科技集團股份有限公司與浙江贊宇科地股權投資合夥企業(有限合夥)關於天門市誠鑫化工有限公司及湖北維頓生物科技有限公司之股權轉讓協議》，約定公司收購贊宇科地併購基金持有的湖北維頓生物科技有限公司(“維頓生物”)65%股權及天門市誠鑫化工有限公司(“誠鑫化工”)65%股權，交易價格為8851萬元人民幣。
公司作為贊宇科地併購基金的劣後級有限合夥人，出資額佔總出資額比例為32.66%，贊宇科地併購基金系公司關聯方。此次交易構成關聯交易。
江蘇金馬油脂科技發展有限公司主要生產油酸、硬脂酸、二聚酸、單酸聚酰胺樹脂、聚酰胺固化劑等產品。
誠鑫化工是以天然油脂為原料生產脂肪酸及其衍生產品的專業生產廠家，主要產品有油酸、硬脂酸、植物瀝青、二聚酸、聚酰胺樹脂、單體酸等。
維頓生物是以天然油脂為原料生產脂肪酸及其衍生產品的專業生產廠家，主要產品有油酸、硬脂酸、植物瀝青、二聚酸、聚酰胺樹脂、單體酸等。
此次交易完成後，公司油脂化學產品結構將得以進一步豐富和優化，有利於進一步提升公司油脂化工業務的競爭力，品牌影響力將進一步增強。
此次交易符合公司未來整體戰略發展方向，對公司經營將產生積極影響，沒有損害公司及股東的利益。此次交易完成後，金馬油脂、維頓生物及誠鑫化工成為公司控股子公司，將納入公司合併報表範圍內。此次交易的資金來源於公司自籌資金，不會對上市公司的財務狀況和經營成果產生重大影響。
