大富科技(300134.SZ)：信達深圳擬聯合相關債權人對控股股東項下債務開展債權收購及債務重組等
格隆匯12月11日丨大富科技(300134.SZ)披露控股股東簽署合作框架協議暨債務重組進展，公司收到控股股東安徽配天投資集團有限公司(曾用名：深圳市大富配天投資有限公司，“配天投資”)通知，配天投資於2019年12月11日與中國信達資產管理股份有限公司深圳分公司(“信達深圳”)、蚌埠投資集團有限公司(“蚌埠投資”)、蚌埠高新投資集團有限公司(“蚌埠高新”)、蚌埠市城市投資控股有限公司(“蚌埠城投”)等主體簽署了關於“配天投資債務重組”項目之合作框架協議。
信達深圳系中國信達資產管理股份有限公司於深圳授權成立的分支機構，持有相關主管部門頒發的《金融許可證》，可在其授權範圍內收購、管理和處置不良資產。信達深圳擬聯合相關債權人對配天投資項下存續未償還的債務開展債權收購及債務重組，並聯合蚌埠投資設立有限合夥企業對配天投資及其關聯方進行重組。
合作框架協議的主要內容如下：
此次交易主要包含債權收購及債務重組和基金投資兩個部分，且前述兩個部分是不可分割的整體性交易，任何一部分無法單獨成立和實施。此次交易總額不超過60億元，其中信達總出資不超過39億元，蚌埠投資總出資不超過21億元。
1、債權收購
信達深圳擬以約34億元收購配天投資的債權。
2、債務重組
信達深圳完成債權收購的同時作為配天投資的債權人，配天投資作為債務人，債務重組標的債權為信達深圳前述收購的對配天投資的全部債權。配天投資及相關方為本次債務重組項下的債務提供擔保措施，並按約定期限向信達深圳償還重組債務及重組寬限補償金。重組期限為5年。
3、基金投資
由信達深圳關聯方信風投資作為管理人發起設立基金，專項用於此次交易，總規模不超過51.02億元。基金的各合夥人出資情況預計如下：信風投資作為GP1、配天智慧雲作為GP2，分別出資金額不超過100萬元；信達作為優先級LP，出資金額不超過5億元；蚌埠投資為劣後級LP1，出資金額不超過21億元；孫尚傳為劣後級LP2、李洪利為劣後級LP3，以其共同持有的配天投資99%的股權作價出資25億元。
基金設合夥人會議和投資決策委員會，合夥人會議是基金的最高權力機構，由全體合夥人組成，按照《合夥企業法》及有限合夥協議規定，行使屬於全體合夥人的權利；基金的投資決策委員會，主要負責基金投資相關事項(包括一般事項及重大事項)決策，向合夥人會議負責。
此次債務重組主要是為了解決公司控股股東配天投資整體債務問題。此次交易完成後，將有利於控股股東盤活資產，完善和優化配天投資及其子公司產業結構。此次交易不會對上市公司生產經營造成影響、不涉及上市公司控制權變更。
