小商品城(600415.SH):擬與金源鴻大合作開發義烏稠城街道車站01/02/03地塊
格隆匯12月11日丨小商品城(600415.SH)公佈,為共同合作開發義烏稠城街道車站01/02/03地塊項目,公司全資子公司義烏中國小商品城房地產開發有限公司(“商城房產”)及商城房產全資子公司義烏拱辰商博置業有限公司(“項目公司”)擬與北京金源鴻大房地產有限公司(“金源鴻大”)共同簽署《義烏稠城街道車站01、02、03地塊合作開發協議》,約定由商城房產與金源鴻大或其指定方共同出資成立合資公司,註冊資本約人民幣4080萬元,商城房產以其持有的100%項目公司股權評估作價出資,金源鴻大或其指定方以貨幣資金出資,商城房產持股比例為49%,金源鴻大或其指定方持股比例為51%。
根據開發協議的約定,商城房產應於2020年1月10日前支付完土地出讓金30.758億元及土地出讓相關的契税及印花税,項目公司完成股權變更當日,金源鴻大及其指定方應根據前述總金額按其間接持股比例向項目公司支付款項,項目公司自收到該款項後當天歸還甲方或其關聯方。
因此,在項目公司完成股權變更當日,將形成商城房產或公司、金源鴻大或其指定方按各自間接持有的項目公司的股權比例為項目公司提供股東借款。
根據開發協議的約定,商城房產或其關聯方為項目公司累計提供的股東借款金額不超過17億元,期限3年,年利率10%,金源鴻大或其指定方將同比例提供股東借款。若前述股東借款無法滿足項目公司正常開發需要,雙方另行商議同比例增加股東借款事宜。
根據開發協議的約定,商城房產可通過將其持有的合資公司的股權份額部分轉讓的方式引入第三方,共同合作開發義烏稠城街道車站01/02/03地塊項目。
