堅瑞沃能(300116.SZ)：簽署重整投資協議 確定重整投資人為常德中興
格隆匯12月10日丨堅瑞沃能(300116.SZ)公佈，重整程序中，經過多輪協商和洽談，2019年12月10日，堅瑞沃能、管理人與常德中興投資管理中心(有限合夥)(“常德中興”)簽署《陝西堅瑞沃能股份有限公司重整投資協議》(“《重整投資協議》”)，確定常德中興為堅瑞沃能此次重整的重整投資人。協議的主要內容如下：
(一)常德中興及其指定的財務投資人將作為重整投資人蔘與堅瑞沃能重整，協助堅瑞沃能完成重整目標。
(二)由重整投資人通過堅瑞沃能出資人權益調整程序有條件受讓堅瑞沃能
實施資本公積轉增股本形成的股份17.34億股，並收購堅瑞沃能6.1億元債權類資產，共向堅瑞沃能提供7.1億元資金。
(三)此次重整投資按照以下路徑執行：
1、該協議生效後次日，常德中興向管理人支付0.4億元重整投資保證金。
2、常德中興製作並向管理人提交《重整計劃經營方案建議稿》，管理人應當根據該協議內容以及常德中興提交的《重整計劃經營方案建議稿》製作《重整計劃草案》，在通報常德中興、堅瑞沃能認可後向西安中院和債權人會議提交。
3、2019年12月30日前召開債權人會議表決《重整計劃草案》，召開出資人組會議表決《重整計劃草案》之出資人權益調整方案。
4、2019年12月31日前，管理人申請西安中院裁定批准《重整計劃》。
5、管理人監督堅瑞沃能執行《重整計劃》：全體投資人在2019年12月26日前向管理人支付重整投資款(包括認購轉增股份和債權對價)不少於3.55億元(含已支付的0.4億元重整投資保證金)；在2020年3月31日前支付剩餘全部重整投資款(包括認購轉增股份和債權對價)；管理人辦理股票轉增登記手續，向全體投資人指定賬户交付轉增股份；管理人向債權人支付債權受償資金和資產。
6、堅瑞沃能及管理人知悉：為保證堅瑞沃能治理結構穩定，堅瑞沃能目前股東郭鴻寶及其一致行動人所持有的股份不得主動轉讓，即不得在未與常德中興協商一致的情況下主動減持股份，郭鴻寶亦需積極與其質權人保持溝通，避免其及其一致行動人持有的股份被動減持。
常德中興的委派代表及其核心團隊擁有多年鋰電池產業鏈相關業務經驗，對該行業有深刻的理解和長遠的戰略眼光，擁有豐富的行業經驗。常德中興作為投資平台，2012年投資創辦了湖南中鋰新材料有限公司，主要研發、生產鋰電池隔膜材料，該公司於2017年9月被上市公司長園集團股份有限公司以超過7億元的價格收購。目前，常德中興仍廣泛佈局鋰電池等新能源行業，其對公司的投資將有助於公司對現有的電池業務進行整合、優化和升級，從而為公司未來的主營業務發展起到尤為積極的作用。
此次重整投資協議的簽訂是堅瑞沃能重整程序的必要環節，管理人將根據重整投資協議、堅瑞沃能實際情況及其他與重整投資人、債權人、出資人的溝通情況制定重整計劃草案並提交法院及債權人會議，法院將召開債權人會議對重整計劃草案進行表決。
