鼎龍文化(002502.SZ)擬5.4億元增資中鈦科技取得其51%的股權
格隆匯12月10日丨鼎龍文化(002502.SZ)公佈，公司擬以人民幣5.4億元向雲南中鈦科技有限公司(“中鈦科技”或“標的公司”)進行增資，增資後取得中鈦科技51%的股權。此次交易完成後，中鈦科技將成為公司的控股子公司。
此次交易的標的公司中鈦科技及其控股子公司均位於雲南省，雲南省鈦礦資源豐富，且主要為鈦鐵砂礦，礦產品位高、雜質少、易採選，生產成本較低，適用於生產氯化法鈦白粉。隨着國家產業政策升級、淘汰落後產能、供給側改革以及環保政策要求持續收緊，市場化下硫酸法鈦白粉生產成本和環保成本將大幅攀升，硫酸法將逐步被氯化法替代，預計未來十年國內氯化法鈦白粉年產能將達到150~200萬噸，屆時對鈦鐵砂礦的需求量將大幅增加。在氯化法鈦白粉發展及產能釋放過程中，雲南省鈦精礦將是彌補鈦原材料匱乏的重要選擇。同時，雲南省大力支持鈦產業發展，《雲南省鈦產業發展規劃》提出全面推進雲南鈦工業產業集羣發展，逐步把雲南打造成國內集生產、貿易、人才為一體的中國鈦產業基地。此外，雲南省區位優勢突出，地處“一帶一路”重要節點，是中國面向南亞、東南亞的橋頭堡；雲南省臨近廣西防城港，物流成本較低；雲南省水電資源豐富，可大大節約生產成本。因此，公司經過深入的研究論證，認為此次交易的標的公司及其深耕的雲南鈦產業具有良好的發展前景及盈利能力。
此次交易前，公司的主營業務為網絡遊戲的研發、發行和運營以及影視劇的投資、拍攝、製作和發行；此次交易完成後，公司將在現有業務的基礎上增加以鈦礦為主的固體礦產資源業務，鈦產業具有良好的發展前景，公司的業務結構將得到進一步豐富，公司此次擬增資的中鈦科技也將納入公司合併報表範圍。中鈦科技擁有豐富的鈦礦資源，如未來能順利開發利用，將顯著提升公司的盈利能力和可持續發展能力，增強公司的核心競爭力，符合公司及全體股東的利益。
