宜通世紀(300310.SZ)擬1.7億元出售倍泰健康100%股權 保持原有主營業務健康發展
格隆匯12月10日丨宜通世紀(300310.SZ)公佈，為了解決公司因併購深圳市倍泰健康測量分析技術有限公司(“倍泰健康”或“標的公司”)產生的不利影響，保持公司原有主營業務的健康發展，公司擬向珠海橫琴玄元八號股權投資合夥企業(有限合夥)(“紓困基金”或“受讓方”)出售倍泰健康100%股權，珠海橫琴玄元八號股權投資合夥企業(有限合夥)目前尚未完成工商設立登記手續。
上市公司於2017年收購倍泰健康100%股權的交易對價為10億元，此次出售倍泰健康100%股權由交易雙方參考倍泰健康截至2019年9月30日淨資產值協商確定交易對價為1.7億元。考慮到此次交易基於紓困的精神，此次股權轉讓完成後，如受讓方後續處置倍泰健康的累計淨收入低於1.7億元(含)，則該等累計處置淨收入全部歸受讓方所有；如受讓方後續處置倍泰健康的累計淨收入高於1.7億元，則累計處置淨收入中超出1.7億元部分中的90%歸上市公司所有，10%歸紓困基金所有。
深圳市倍泰健康測量分析技術有限公司經營範圍：健康測量分析產品、醫療軟件、健康軟件、電子健康秤、電子產品、精密測量儀器的研發與銷售；塑膠製品的銷售，國內貿易，經營進出口業務(以上均不含法律、行政法規、國務院決定規定需前置審批和禁止的項目)、手機的研發、銷售；手機的生產(由分支機構經營)；健康養生管理諮詢；計算機應用軟件開發、信息系統集成及運維服務。保健食品銷售；三類醫用超聲儀器及有關設備、醫用磁共振設備、醫用高能射線設備、醫用X射線設備、臨牀檢驗分析儀、醫用電子儀器設備、二類臨牀檢驗分析儀器、醫用電子儀器設備、醫用普通診斷器械、注射穿刺器械、植入材料和人工器官、醫用高分子材料及製品、醫用激光儀器設備、醫用超聲儀器及有關設備、介入器材、病房護理設備及器具、醫用X射線附屬設備及部件、體外診斷試劑(特殊管理診斷試劑除外)的銷售；提供設備的維修、維護和租賃；互聯網信息服務。
此外，因倍泰健康未能實現2016年度至2018年度累計盈利承諾，根據《發行股份及支付現金購買資產協議》的相關約定，業績補償承諾方應向公司履行業績補償責任，以上市公司股份及現金合計補償約9.71億元。目前公司已回購註銷趙宏田、周鬆慶、張彥彬、王有禹、胡兵、王崟所持有的業績補償股份共計約105.75萬股，業績補償承諾方尚需以上市公司股份及現金合計補償約9.56億元。公司將積極採取措施追究業績承諾方的業績補償責任，但鑑於主要業績承諾方持有的上市公司股份已經被質押、凍結，因此公司能否獲得業績補償存在重大不確定性。
倍泰健康原實際控制人方炎林、李詢私自以倍泰健康及其下屬公司名義對外違規借款、擔保且金額巨大，導致倍泰健康銀行賬户被凍結，資金鍊斷裂，生產經營受到嚴重影響；方炎林、李詢因涉嫌合同詐騙被採取強制措施。前述因素，導致倍泰健康業績大幅虧損。此次交易對倍泰健康進行了剝離，有利於解決公司因倍泰健康產生的不利影響，防止虧損進一步擴大，保持公司原有主營業務的持續健康發展。
