牧原股份(002714.SZ)擬與華能信託共設淮北牧華、滑縣牧華暨向公司子公司增資
格隆匯12月10日丨牧原股份(002714.SZ)公佈，公司於2019年12月10日第三屆董事會第二十次會議，審議通過了《關於在濉溪設立合資公司的議案》、《關於在滑縣設立合資公司的議案》、《關於控股子公司淮北市牧華畜牧業產業發展有限公司使用自有資金向公司全資子公司增資的議案》和《關於控股子公司滑縣牧華畜牧產業發展有限公司使用自有資金向公司全資子公司增資的議案》，同意公司與華能貴誠信託有限公司(“華能信託”)共同投資設立合資公司，同意合資公司設立後對公司子公司進行增資。
公司為進一步擴大生豬養殖規模，實施戰略發展規劃，提高核心競爭力，進一步增強公司的綜合競爭力和盈利能力，擬與華能信託共同投資設立淮北市牧華畜牧業產業發展有限公司(暫定名，以工商登記核准的名稱為準)(“淮北牧華”)、滑縣牧華畜牧產業發展有限公司(暫定名，以工商登記核准的名稱為準)(“滑縣牧華”)。
其中，淮北牧華擬定註冊資本35億元人民幣，公司和華能信託分別認繳出資額18億元、17億元；擬定經營範圍為生豬、種豬養殖及銷售；飼料加工、銷售；養殖技術的服務推廣；糧食購銷；豬糞處理。(經營範圍以工商登記機關核准的結果為準，須經批准的項目，取得相關部門的批准開展經營活動)。
滑縣牧華，擬定註冊資本37億元人民幣，公司和華能信託分別認繳出資額19億元、18億元；擬定經營範圍為生豬、種豬養殖及銷售；飼料加工、銷售；養殖技術的服務推廣；糧食購銷；豬糞處理。(以工商登記機關核准為準)。
為促進子公司的生產經營建設，淮北牧華和滑縣牧華設立後，擬對牧原股份的全資子公司進行增資，淮北牧華擬使用自有資金對牧原股份的全資子公司安徽潁上牧原農牧有限公司(“潁上牧原”)、山東鄒平牧原農牧有限公司(“鄒平牧原”)、辛集市牧原農牧有限公司(“辛集牧原”)分別增資5.5億元、3.5億元、3.75億元；
滑縣牧華擬使用自有資金對牧原股份的全資子公司鹿邑牧原農牧有限公司(“鹿邑牧原”)、廣宗牧原農牧有限公司(“廣宗牧原”)、山西永濟牧原農牧有限公司(“永濟牧原”)分別增資4.5億元、3億元、5.5億元。
公司與華能信託合作共同投資設立合資公司，有利於公司擴大生豬養殖規模一體化飼養模式，進一步增強公司的綜合競爭力和盈利能力，提高公司產品市場佔有率，獲取規模經濟效益，實現全體股東的利益最大化。
