天龍集團(300063.SZ)擬收購睿道科技100%股權並募集配套資金 明起復牌
格隆匯12月10日丨天龍集團(300063.SZ)公佈，公司擬以發行股份及支付現金的方式購買張耀宏、鎮江睿覽、平潭立湧、鎮江睿渥、鎮江睿姿合計持有的睿道科技100%股權，其中不超過20%的交易對價擬由公司通過此次重組募集配套資金以現金的方式支付。
此次交易完成後，睿道科技將成為公司的全資子公司。此次交易標的資產預估值和定價尚未確定，具體交易價格、股份及現金支付的比例及金額，將在對交易標的的審計、評估工作完成之後，由交易各方協商確定，並將在重組報告書(草案)中予以披露。
同時，公司擬向不超過5名符合條件的特定投資者非公開發行股份募集配套資金，募集配套資金總額不超過此次發行股份購買資產交易價格的100%，擬用於支付此次交易的現金對價、中介機構費用和補充流動資金。
此次交易屬於同行業產業併購。此次交易前，公司是主要從事互聯網營銷服務和精細化工產品製造與銷售的現代企業集團，主營業務包括互聯網營銷業務、油墨化工業務和林產化工業務。其中上市公司互聯網營銷服務主要集中在搜索引擎、信息流等媒體的互聯網廣告代理業務，媒體投放平台主要為百度、360、搜狗、今日頭條等資源平台，為廣告主提供互聯網各大平台廣告的媒介採買、效果優化、全案策劃、諮詢投放、創意製作、效果監測、技術支持等服務，同時也為廣大客户提供全方位定製化的移動營銷解決方案以及社會化全案營銷服務。睿道科技專注於為客户提供移動互聯網精準營銷服務，提供包括創意策劃、內容製作、精準投放、效果優化等基於大數據的移動互聯網精準營銷服務與移動互聯網廣告投放代理服務。睿道科技媒體投放平台主要側重於字節跳動(今日頭條、短視頻、火山小視頻、西瓜視頻)、騰訊(騰訊廣點通、微信朋友圈、QQ瀏覽器)、微博和搜狐等媒體平台。
此次交易完成後，睿道科技將成為上市公司全資子公司。收購完成後，隨着睿道科技與上市公司現有互聯網營銷業務平台協同效應的強化和與頭部媒體資源戰略合作的深化，上市公司將進一步拓展在移動互聯網營銷產業的業務佈局，充分發揮數字營銷業務的互補與協同效應。此外，睿道科技在短視頻業務的前瞻性佈局，與上市公司“持續發展搜索營銷，重點佈局信息流和廠商業務，着力提升短視頻業務的市場佔有率”的戰略目標相契合，有助於上市公司鞏固數字營銷業務市場地位，打造有規模、有特色的中國互聯網營銷領軍集團。
經向深圳證券交易所申請，公司股票將於2019年12月11日上午開市起復牌。
