華工科技(000988.SZ)擬掛牌轉讓華日激光52%股權
格隆匯12月10日丨華工科技(000988.SZ)公佈，公司全資子公司武漢華工科技投資管理有限公司(“華工投資”)持有武漢華日精密激光股份有限公司(“華日激光”)40%股權，全資子公司武漢華工激光工程有限責任公司(“華工激光”)持有華日激光28.57%股權，公司通過全資子公司華工投資、華工激光合計間接持有華日激光68.57%股權。
為了優化股權結構，引入戰略投資者，拓寬行業應用渠道，提升市場份額，推動華日激光可持續發展。公司擬以公開掛牌方式合計轉讓持有華日激光52%股權，其中華工投資轉讓其所持全部40%股權，華工激光轉讓其所持12%股權。轉讓完成後，公司全資子公司華工投資不再持有華日激光股權，公司全資子公司華工激光仍持有華日激光16.57%股權，華日激光不再納入華工科技並表範圍。
華日激光是華工科技圍繞激光技術應用在核心光源及激光器領域的重要產業佈局，為全資子公司華工激光提供配套精密加工的紫外激光器和皮秒/飛秒超快激光器，有效打通了華工科技激光產業鏈上下游資源的發展。
在宏觀經濟增長放緩的背景下，為有效緩解市場競爭加劇給華日激光帶來的經營壓力，華工科技有意引入核心器件、泵浦源、光學材料等戰略投資方，聚集產業鏈資源，將有利於促使其獲得更多的上下游協同支持，加快多種光源及激光器的研發及產業化，為華工激光鞏固現有產業結構，維護供應鏈安全，拓寬工業加工領域應用，提供有力支撐。
此次交易將會對公司業績產生積極影響，具體影響仍需視本次掛牌最終確認的成交價格而定。本次交易完成後，華日激光不再納入公司合併報表範圍，公司對其核算方法轉為權益法核算。因上述事項造成公司合併報表範圍發生變化，將會對公司營業收入等財務數據造成影響，具體影響情況以年度審計結果為準。
華工科技本次轉讓所持華日激光52%股權，將對公司財務狀況和經營成果帶來積極影響。本次轉讓完成後，華工科技仍間接持有華日激光18.98%的權益，作為重要股東就促進產業鏈發展與戰略投資者、華日激光開展更深領域的合作，實現股權價值的提升。
