鼎信通訊(603421.SH)：持股5%以上股東因誤操作導致短線
格隆匯12月10日丨鼎信通訊(603421.SH)公佈，公司持股5%以上股東王天宇在實施減持計劃過程中，出現誤操作而導致短線交易。根據《中華人民共和國公司法》、《中華人民共和國證券法》、《上海證券交易所股票上市規則》等相關法律法規的規定，現就有關情況披露如下：
公司於2019年10月22日披露，王天宇計劃在減持計劃公告發布之日起十五個交易日後6個月內，通過集中競價的方式減持公司股份不超過469.24萬股，即不超過公司總股本的1.00%。
王天宇於2019年11月21日至2019年12月5日按照減持計劃通過集中競價交易方式累計減持其上市前取得的股票51.3451萬股，成交價格區間為15.18-17.81元/股，減持數量佔公司總股本比例為0.11%，累計減持總金額885.72萬元。
2019年12月6日，王天宇先生誤操作買入公司股票4萬股，成交價格區間為17.60-17.67元/股，成交金額70.53萬元。截至公告披露日，王天宇持有公司股份3164萬股，佔公司總股本的6.74%。
由於操作失誤，王天宇將“賣出”指令誤操作成“買入”，導致錯誤買入成交4萬股，買入價格區間為17.60-17.67元/股，買入股票成交金額為70.53萬元。上述交易行為違反了《中華人民共和國證券法》第47條及《上海證券交易所股票上市規則》的相關規定，構成短線交易。經公司核查，王天宇的上述增持行為系操作失誤，該筆短線交易行為未發生在公司披露定期報告的敏感期內，不存在因獲悉內幕信息而交易公司股票的情況，亦不存在利用短線交易謀求利益的目的。
根據《中華人民共和國證券法》第47條及《上海證券交易所股票上市規則》的相關規定，王天宇因誤操作買入公司股票的行為構成短線交易，短線交易所得收益歸上市公司所有。王天宇於2019年11月21日至2019年12月6日期間賣出公司股份合計51.3451萬股，成交金額合計885.72萬元，買入公司股份合計4萬股，成交金額合計為70.53萬元。以2019年11月21日至2019年12月6日期間的最高賣出價17.81元/股和最低買入價17.60元/股作為參考，計算所得收益為(17.81元/股-17.60元/股)×40000股=8400元。上述所得收益8400元作為此次短線交易的獲利金額，將全數上交公司所有。
王天宇此次誤操作不具有短線交易的主觀故意，發現誤增持情況後及時通知了公司，並已深刻認識到了此次誤操作構成短線交易的嚴重性，因本次短線交易給公司和市場帶來的不良影響向廣大投資者致以誠摯的歉意，並在今後將嚴格遵守《中華人民共和國證券法》關於禁止短線交易的規定。
