紫金銀行(601860.SH)稱：明年1月實際解禁股份合計約13.69億股
格隆匯12月10日丨紫金銀行(601860.SH)公佈，近日，公司關注到有媒體報道公司面臨大額解禁，公司股價發生波動。針對相關報道公司作出如下説明：
目前，公司經營情況正常，不存在應披露而未披露的重大信息。
2019年前三季度，公司實現營業收入35.83億元，較上年同期增長22.22%，淨利潤11.38億元，較上年同期增長15.22%；截至2019年9月30日，公司資產總額2000.04億元，不良貸款率1.65%，撥備覆蓋率224.74%，資本充足率14.37%，核心資本充足率10.69%。
經中國證券監督管理委員會核准，公司首次公開發行人民幣普通股約3.6609億股，並於2019年1月3日在上海證券交易所掛牌上市。首次公開發行後，公司總股本約36.61億股，其中限售股32.948億股，佔總股本的90%。
公司關注到有媒體報道2020年1月公司解禁股份22億股，佔總股本60%。經核實，因有部分股東自願鎖定，公司2020年1月實際解禁股份合計約13.6896億股，佔總股本的37.39%。公司會積極應對此次限售股解禁。
2019年公司先後有一名監事和兩名董事辭職，均因個人原因。
公司前外部監事楊榮華因個人工作地點變動履職不便，於2019年3月申請辭職，並確認與公司監事會無不同意見。經第三屆監事會第八次會議提名，2018年年度股東大會審議通過，公司已選舉閆海峯為外部監事。公司前獨立董事毛瑋紅因個人工作變動，於2019年10月申請辭職，並先後辭去了蘇農銀行(603323.SH)、創元科技(000551.SZ)的獨立董事職務，毛瑋紅確認與公司董事會無不同意見。
公司前副董事長黃維平因個人原因，於2019年11月申請辭職。公司於2019年6月6日披露了《紫金銀行關於公司副董事長正在配合有關部門調查的公告》，該事項不涉及公司及公司經營，不會對公司經營管理工作產生重大影響。
