四維圖新(002405.SZ)：六分科技擬進行增資擴股 不再納入公司合併範圍
格隆匯12月10日丨四維圖新(002405.SZ)公佈，此次交易系公司控制的子公司北京六分科技有限公司(“六分科技”)擬進行增資擴股，引進投資者洪鑫源、北京北斗通、南方工業、四維互聯基金。
洪鑫源擬以人民幣6000萬元認購六分科技人民幣300萬元新增註冊資本，投後持股比例為5.36%；北京北斗通擬以人民幣1000萬元認購六分科技人民幣50萬元的新增註冊資本，投後持股比例為0.89%；南方工業擬以人民幣1000萬元認購六分科技人民幣50萬元的新增註冊資本，投後持股比例為0.89%；四維互聯基金擬以人民幣4000萬元認購六分科技200萬元的新增註冊資本，投後持股比例為3.57%。
洪鑫源、北京北斗通、南方工業、四維互聯基金的增資完成後，公司對六分科技的持股比例降為40.18%，六分科技不再納入公司合併範圍。
六分科技是以高精度定位能力為核心，融合GNSS、芯片、大數據、雲計算等技術的國內一流專業定位服務運營商。其產品包括：(1)高精度定位服務：為新興市場如自動駕駛、車聯網、無人機和智慧城市；大眾市場包括智慧物流、智能終端；傳統市場如智慧農業、形變監測等實時提供分米級的高精度定位服務。(2)基準站接收機：基準站接收機採用六分科技完全自主知識產權研發的三系統板卡，及北斗全新通道變頻技術，可應用於相關領域。
此次交易的六分科技投前估值為人民幣10億元，系綜合考量六分科技的可比市場交易，以及六分科技的業務經營情況，並經六分科技與本次交易的投資人協商後一致確定。此次交易的定價政策符合有關法律法規的規定，上市公司關聯方四維互聯基金的認購價格與其他非關聯投資人的認購價格相同，關聯交易作價公允。
此次交易的目的是通過六分科技增發新股引入新的投資者，促使六分科技獲得充分的戰略資源和資金支持，在戰略和經營決策方面獲得獨立性和靈活性，提高六分科技在高精度定位領域的競爭力，為股東創造更好的回報。
此次交易將導致上市公司合併報表範圍變更。此次交易前，六分科技是四維圖新控制的子公司，公司持股比例為45%，在洪鑫源、北京北斗通、南方工業和四維互聯基金增資完成後，四維圖新在六分科技的持股比例降至40.18%，在董事會7名成員中有權提名3位董事，因此四維圖新不再控制六分科技，六分科技將成為四維圖新的參股公司。根據企業會計準則的規定，在前述交割完成後，四維圖新持有六分科技剩餘股權的公允價值高於其自購買日起計算的淨資產份額之間的差額將增加四維圖新合併報表投資收益，約4億人民幣。具體數據請以年度審計報告披露數據為準。上述測算僅為此次交易的預計影響，不代表公司最終實現的利潤增加額。
