立霸股份(603519.SH)：嘉興君勵擬投資於國內半導體設備企業瀋陽拓荊
格隆匯12月9日丨立霸股份(603519.SH)公佈，2019年11月26日，公司發佈了《關於投資設立股權投資基金及有限合夥企業的公告》，公司擬對嘉興君勵投資9108萬元；擬對上海俊合商務諮詢合夥企業(有限合夥)(暫定名，最終以工商行政管理機關核准登記名稱為準)投資5892.66萬元。
目前，嘉興君勵已完成將立霸股份登記為其合夥人的工商變更登記手續，上海俊合商務諮詢合夥企業(有限合夥)最終核准的名稱為“上海鋆赫商務諮詢合夥企業(有限合夥)”，尚需在工商行政管理機關辦理設立的核準登記手續。
此次交易中，公司作為有限合夥人的嘉興君勵擬投資於國內半導體設備企業瀋陽拓荊，嘉興君勵擬投資的金額為13323萬元，公司按照持有的嘉興君勵的出資份額而向嘉興君勵擬出資的金額為9108.00萬元，其中約8533.47萬元由嘉興君勵用作向瀋陽拓荊出資。此次投資完成後，嘉興君勵擬持有瀋陽拓荊7.39%股權；同時，作為此次交易的組成部分之一，公司作為有限合夥人之一的上海鋆赫擬向瀋陽拓荊的4家員工持股平台提供財務資助借款，上海鋆赫擬提供財務資助借款的金額為9177萬元，公司按照持有上海鋆赫的出資份額而向上海鋆赫出資的金額為5892.66萬元，其中約5877.93萬元由上海鋆赫用作提供財務資助借款。上海鋆赫向瀋陽拓荊的員工持股平台提供的財務資助借款系用於瀋陽拓荊的員工持股平台向瀋陽拓荊增資之用。上述對外投資及財務資助交易互為前提、不可分割。公司合計擬向嘉興君勵及上海鋆赫出資的金額為15000.66萬元，其中最終用作向瀋陽拓荊出資的金額及向瀋陽拓荊的4家員工持股平台提供財務資助的金額合計約為14411.4萬元。
截至目前，嘉興君勵暫未與瀋陽拓荊簽署增資協議，上海鋆赫暫未與瀋陽拓荊的員工持股平台簽署財務資助借款協議。
