中百集團(000759.SZ)擬向中百生鮮增資1.53億元 做大做強生鮮食品加工及配送業務
格隆匯12月9日丨中百集團(000759.SZ)公佈，中百集團武漢生鮮食品加工配送有限公司(“中百生鮮”)成立於2010年5月，註冊資本3億元，其中：公司佔51%，武漢東湖百瑞股權投資基金合夥企業(有限合夥)(“產業基金”)佔49%。
為了支持中百生鮮擴量增效，滿足其資金需求，增強其綜合實力和盈利能力，繼續做大做強生鮮食品加工及配送業務，公司決定以自有資金對中百生鮮增資1.53億元，產業基金放棄參與此次增資。此次增資完成後，中百生鮮的註冊資本將由人民幣3億元增加至4.5億元，公司對中百生鮮的出資比例變為67.33%，產業基金對中百生鮮的出資比例變為32.67%。
產業基金是公司與公司控股股東及其關聯方共同投資設立，根據《深圳證券交易所股票上市規則》和《公司章程》的規定，此次交易事項構成關聯交易。
中百集團武漢生鮮食品加工配送有限公司經營範圍：普通貨運、貨物專用運輸；日用百貨、散裝食品、預包裝食品、化粧品、辦公用品、五金、計算機、通訊產品、家居用品銷售；食品生產加工；倉儲(不含危險品)服務；土特農產品、蔬菜種植；水產品(不含苗種)養殖；場地出租；物業管理；餐飲服務；家用電器銷售、安裝及維修；計算機軟件的技術開發、技術轉讓、技術諮詢、技術服務；計算機信息系統集成服務。(依法須經審批的項目，經相關部門審批後方可開展經營活動)
隨着公司倉儲超市、便利店的不斷髮展以及中央大廚房業務的不斷拓展，原有的冷鏈物流已無法滿足需求，年初公司啟動了冷鏈物流的擴建工作，冷鏈物流的擴建由中百生鮮投資，為了工程的順利實施，公司擬對中百生鮮增資，進一步增強中百生鮮自身資金實力，滿足工程的資金需求。同時由於生鮮食品加工及配送業務的拓展，中百生鮮流動資金不寬裕，通過增資將為其提供了有力資金支持，有利於加快公司業務升級、打造新的利潤增長點，更好地支持公司發展，符合公司的戰略發展規劃。
此次增資完成後，公司對中百生鮮的持股比例將變為 67.33%，仍為中百生鮮的控股股東，不會導致公司合併報表範圍發生變化，不會對公司財務及經營狀況產生不利影響，不存在損害公司及全體股東利益的情形。
