美晨生態(300237.SZ)：擬與機構合作設立投資基金 加速在麻類作物全產業鏈的戰略佈局
格隆匯12月9日丨美晨生態(300237.SZ)公佈，公司擬與專業投資機構共同設立美華網新(濰坊)股權投資基金合夥企業(有限合夥)(“美華網新基金”、“合夥企業”)(暫定名，最終以工商核准為準)，基金總規模4100萬元，期限為3年，
此次設立的美華網新基金為有限合夥制，其中，山東中網銀新投資管理有限公司為美華網新基金普通合夥人，擔任美華網新基金的執行事務合夥人，出資41萬元；公司、濰坊濰怡投資管理中心(有限合夥)、濰坊恆新資本管理有限公司作為美華網新基金有限合夥人，分別對應出資1600萬元、2049萬元、410萬元。
濰坊市華以農業科技有限公司(“華以農業”)是一家主營果蔬的水培種植、銷售以及設施農業出售、技術輸出的現代農業企業。專注於水培蔬菜的全產業鏈產品、資源、技術的輸出，為客户提供整體水培種植解決方案，擁有先進的以色列技術資源，並通過對以色列的引入的農業技術進行本土深度開發，在整體水培種植的業務形成了專利及著作權十多項，在細分行業內具有技術、價格優勢。華以農業自成立以來，通過對以色列格普大棚科技有限公司在温室水培技術、自制營養液兩方面技術的本土化研發，依託於自營基地，通過對各類葉菜、藤蔓蔬果植物的水培種植研發，已經在國內設施農業中蔬果種植方面形成了自身技術。
華以農業立足自身實際，提前佈局工業大麻領域，並積極與以色列大麻企業對接合作，尋求技術合作與品種引進，提早佈局工業大麻產業鏈，研發先行，有效發揮科技對工業大麻產業的支撐和引領作用，同時也為其後續利潤增長找到了新的突破口。
公司與專業投資機構合作設立投資基金，充分藉助專業投資機構的資源及其投資管理優勢，對濰坊市華以農業科技有限公司進行投資，通過華以農業先進的技術資源，加速公司在麻類作物全產業鏈的戰略佈局，符合公司戰略發展規劃和產業鏈延伸的要求，有利於提高公司盈利水平和市場競爭力，加快公司的戰略佈局和提升公司行業地位。公司本次參與設立投資基金資金來源於公司自有資金，不會對公司財務及經營狀況產生不利影響，不存在損害上市公司股東利益的情形。
