奇信股份(002781.SZ)與城發集團簽訂戰略合作框架協議
格隆匯12月9日丨奇信股份(002781.SZ)公佈，公司(“乙方”)與株洲市城市建設發展集團有限公司(“城發集團”，甲方)為實現共同發展，建立長期穩定的戰略合作伙伴關係，於近日簽訂了《戰略合作框架協議》。
城發集團是由株洲市人民政府授權，株洲市國有資產管理委員會作為出資人設立的國有獨資企業。業務板塊覆蓋；工程建設、片區開發；公用事業；房地產、非銀金融等。城發集團總資產規模近800億元，國內信用等級為AA+，國際信用等級為惠譽BBB-，是株洲市目前資產規模最大、信用等級最高、服務百姓最廣的政府投資類企業，城發集團發展定位為“城市資源綜合開發運營商”。在《中國地方政府投融資平台轉型發展評價報告2018》中，城發集團居中國地方政府融資平台市級排名第28位，居湖南省政府融資平台前列。城發集團轉型發展的經驗分別寫入《城投藍皮書：中國城投行業發展報告(2017)》《中國城投(2018)》，並在2018年中國城投年會上做典型經驗介紹。
戰略合作的主要內容如下：
1.雙方在智慧城市、人居環境、新材料、高新技術產品、建築裝飾等領域展開廣泛和深入的合作。在甲方主導的項目中，在同等條件下涉及到物聯網、健康人居、智能化、建築裝飾等產品和方案的需求應依法依規優先選擇乙方作為合作商，相關項目信息及時知會乙方，並與乙方共同確定推進戰略。
2.雙方未來不排除多種合作模式，包括但不限於戰略股權投資、產業融合和資源導入、產業基金、戰略紓困投資等。雙方戰略合作應加強頂層設計，加速產業與資本的融合，提升雙方整體實力。
3.雙方同意具體合作項目的執行工作可由雙方各自指定的子公司負責。雙方同意，協議僅規定雙方合作的基本方針和原則，具體項目的合作內容和方式等，雙方根據項目情況進一步協商確定，並在相應的合作協議等相關文件中進行約定。
4.雙方計劃於協議簽署後成立工作小組，相互協調、配合和推進具體合作事宜。
此次戰略合作符合公司長期戰略發展，將有力推動公司在健康智慧人居領域戰略發展的實施，有效利用各方優勢資源，有利於公司進一步增強資源整合能力，增強公司的業務拓展能力，進一步提升公司的核心競爭力和可持續發展能力，提升對社會公眾股東的投資回報。
協議為雙方合作的意向性文件，後續具體業務開展將另行簽訂協議予以約定，協議的履行對公司2019年度的營業收入、淨利潤等不構成重大影響，對公司未來年度經營業績的影響需視後續具體協議的簽訂和實施情況而定。
