啟明星辰(002439.SZ)擬以募集資金向重慶子公司及重慶企管增資
格隆匯12月9日丨啟明星辰(002439.SZ)公佈，此次募集資金投資項目為重慶安全運營中心建設項目，實施主體為公司全資子公司重慶子公司和重慶企管。為提高募集資金的使用效率，推進募投項目的建設進度，結合公司經營發展需要和募集資金實際到賬情況，公司決定以募集資金人民幣約1.48億元逐級通過向全資子公司啟明星辰信息安全投資有限公司(“投資公司”)、北京啟明星辰信息安全技術有限公司(“安全公司”)、重慶子公司增資，最終由重慶子公司將其中的人民幣1.18億元向其全資子公司重慶企管增資，用於重慶安全運營中心建設項目。增資後重慶子公司的註冊資本由目前的人民幣300萬元增加至人民幣約1.51億元，重慶企管的註冊資本由目前的人民幣200萬元增加至人民幣1.2億元。
重慶啟明星辰信息安全技術有限公司經營範圍：信息安全、計算機軟硬件技術開發、技術諮詢、技術轉讓；計算機網絡工程設計、施工；銷售計算機軟硬件、五金交電、電子元器件；貨物及技術進出口(國家禁止或涉及行政審批的貨物和技術進出口除外)；機械設備租賃；計算機系統服務。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
啟明星辰(重慶)企業管理有限公司經營範圍：企業管理；企業管理諮詢；物業管理；信息系統集成服務；房屋租賃；從事計算機軟硬件、通訊技術、信息技術、互聯網信息領域內的技術開發、技術轉讓、技術諮詢、技術服務；銷售：計算機軟硬件、電子產品(不含電子出版物)、儀器儀表。【依法須經批准的項目，經相關部門批准後方可開展經營活動】
公司第四屆董事會第七次會議通過了《關於部分變更募集資金用途的議案》，擬將募集資金投資項目“鄭州安全運營中心和網絡安全培訓中心建設項目”減少部分募集資金和變更募投項目實施地點。新增募集資金投資項目“重慶安全運營中心建設項目”和“天津安全運營中心建設項目”。上述議案尚須提請公司股東大會及可轉換公司債券持有人會議審議。
此次將部分募集資金以增資方式投入公司全資子公司將在上述部分變更募集資金用途的議案經公司股東大會及可轉換公司債券持有人會議審議通過後實施，有利於提高募集資金的使用效率，保障募集資金投資項目的順利穩步實施，符合公司的長遠規劃和發展戰略，不存在損害公司和中小股東利益的行為。
