啟明星辰(002439.SZ)擬使用募集資金向天津子公司增資2474.37萬元
格隆匯12月9日丨啟明星辰(002439.SZ)公佈，為提高募集資金的使用效率，推進募投項目的建設進度，結合公司經營發展需要和募集資金實際到賬情況，公司決定以募集資金人民幣2474.37萬元逐級向全資子公司啟明星辰信息安全投資有限公司(“投資公司”)、北京啟明星辰信息安全技術有限公司(“安全公司”)、天津啟明星辰信息技術有限公司(天津子公司)增資，用於天津安全運營中心建設項目。增資後天津子公司的註冊資本由目前的人民幣4000萬元增加至人民幣6474.37萬元。
啟明星辰信息安全投資有限公司經營範圍：項目投資；投資管理；投資諮詢；企業管理。(“1、未經有關部門批准，不得以公開方式募集資金；2、不得公開開展證券類產品和金融衍生品交易活動；3、不得發放貸款；4、不得對所投資企業以外的其他企業提供擔保；5、不得向投資者承諾投資本金不受損失或者承諾最低收益”；企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。)
北京啟明星辰信息安全技術有限公司經營範圍：網絡、計算機軟硬件的技術開發、服務、轉讓、諮詢、培訓；承辦展覽展示；承接計算機網絡工程；銷售開發後的產品、五金交電、電子元器件、計算機軟硬件及外圍設備；信息安全設備的設計開發、生產、服務和維修；貨物進出口、代理進出口、技術進出口；機械設備租賃（不含汽車租賃）。（企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。）
天津啟明星辰信息技術有限公司經營範圍：電子信息技術、計算機網絡技術、計算機軟硬件的技術開發、服務、轉讓、諮詢；展覽展示服務；會議服務；計算機網絡工程；五金交電、電子元器件、計算機軟硬件銷售；自營和代理貨物及技術的進出口；機械設備租賃。（依法須經批准的項目，經相關部門批准後方可開展經營活動）
公司第四屆董事會第七次會議通過了《關於部分變更募集資金用途的議案》，擬將募集資金投資項目“鄭州安全運營中心和網絡安全培訓中心建設項目”減少部分募集資金和變更募投項目實施地點。新增募集資金投資項目“重慶安全運營中心建設項目”和“天津安全運營中心建設項目”。上述議案尚須提請公司可轉換公司債券持有人會議及股東大會審議。
此次將部分募集資金以增資方式投入公司全資子公司將在上述部分變更募集資金用途的議案經公司可轉換公司債券持有人會議及股東大會審議通過後實施，有利於提高募集資金的使用效率，保障募集資金投資項目的順利穩步實施，符合公司的長遠規劃和發展戰略，不存在損害公司和中小股東利益的行為。
