江西銅業股份(00358.HK)擬11.159億美元收購加拿大上市公司FQM18.015%
格隆匯12月9日丨江西銅業股份(00358.HK)發佈公告，公司全資子公司江西銅業(香港)投資有限公司(以下簡稱 JCCI)擬以11.159億美元的對價向公司間接參股公司 Pangaea Investment Management Ltd.(以下簡稱 PIM)收購 PIM 全資持有的 PIM Cupric Holdings Limited(以下簡稱 PCH )100%股權，收購完成後 PCH 將成為公司的間接全資控股公司。(以下簡稱本次交易)。
PCH 目前持有加拿大多倫多證券交易所上市公司 First Quantum Minerals Ltd.(以下簡稱 FQM)124,198,371 股股份(佔 FQM 已發行股份的 18.015%)。
FQM在贊比亞、巴拿馬、祕魯等8個國家擁有9個銅礦開發項目，其中，FQM在贊比亞和巴拿馬擁有三座已投產的世界級礦山，在阿根廷和祕魯擁有兩個待開發礦山。FQM合計控制了約4,925萬噸銅礦資源(加拿大NI43-101標準)，其中歸屬FQM權益銅資源量為4,590萬噸。此外，FQM在澳大利亞、贊比亞還擁有2個大型鎳礦資源，總資源量為238萬噸(加拿大NI43-101標準)。2018年FQM實際銅產量約為60.6萬噸。根據2019年6月30日FQM披露的產量指引，FQM預計2019-2021年銅產量分別為：70-73.5萬噸、84-87萬噸、82萬噸。
公告表示，收購資產助力公司資源國際化。通過本次交易，公司將成為 FQM 單一最大同行業投資人股東。FQM 控制的銅礦儲量豐富，預計未來將產生較強的現金流，公司通過持股享有相應 FQM 銅礦資源權益及預計未來現金分紅，符合公司資源國際化戰略。
此外，今後有望助力兩家公司優勢互補、協同發展與價值提升。FQM 擁有優秀的管理團隊，在礦山項目建設及運營上具有豐富經驗，公司及 FQM 均持有可以擴大生產規模以及待開發的銅礦項目，存在未來在項目開發層面的合作預期；融合兩家公司在管理、資金等方面的優勢，通過發揮協同作用，提升項目盈利水平。
