棒傑股份(002634.SZ)：終止參與投設蘇州武大棒傑醫療健康投資合夥企業
格隆匯12月9日丨棒傑股份(002634.SZ)公佈，2019年2月22日，公司第四屆董事會第十二次會議審議通過了《關於全資子公司參與投資設立蘇州武大棒傑醫療健康投資合夥企業(有限合夥)的議案》，同意全資子公司棒傑醫療投資管理有限公司(“棒傑醫療”)、上海棒傑醫療科技有限公司(“上海棒傑醫療”)與武漢櫻頂股權投資基金管理有限公司(“櫻頂投資”)、蘇州同運仁和創新產業投資有限公司(“同運創投”)、武漢武大創新投資有限公司(“武大創投”)共同投資設立蘇州武大棒傑醫療健康投資合夥企業(有限合夥)(“產業基金”或“本合夥企業”)，並簽署《蘇州武大棒傑醫療健康投資合夥企業(有限合夥)合夥協議》。本合夥企業目標認繳出資總額為人民幣1億元。其中，櫻頂投資擬擔任普通合夥人，認繳出資人民幣100萬元，佔認繳出資總額的1%；棒傑醫療擬擔任普通合夥人、管理人和執行事務合夥人，認繳出資人民幣100萬元，佔認繳出資總額的1%；上海棒傑醫療、同運創投、武大創投擬作為產業基金的有限合夥人，分別認繳出資人民幣4900萬元、3000萬元、1900萬元，佔認繳出資總額的49%、30%、19%。
2019年12月9日，公司召開的第四屆董事會第二十一次會議審議通過了《關於全資子公司終止參與投資設立產業基金的議案》，同意全資子公司棒傑醫療和上海棒傑醫療終止參與投資設立上述產業基金。根據《深圳證券交易所股票上市規則》、《公司章程》等相關規定，此次終止參與投資設立產業基金事項未超出公司董事會決策權限，無需提交公司股東大會審議。
自公司董事會審議通過此次投資相關議案並簽署合夥協議以來，公司督促子公司積極與相關合作方進行溝通與協商，但因受政策變化及市場環境變化等因素影響，該產業基金至今未正式成立。公司根據自身的經營情況和戰略發展要求，為維護公司及廣大股東的利益，經公司審慎、綜合考慮，並與各投資方協商一致後，決定終止投資設立該產業基金。
