大禹節水(300021.SZ)：擬與北京慧圖開展智慧水利、智慧農業領域戰略合作
格隆匯12月9日丨大禹節水(300021.SZ)公佈，2019年12月8日，公司與北京慧圖本着實現優勢互補，共同致力於智慧水利、智慧農業領域的合作事宜訂立《戰略合作框架協議》。協議的主要內容包括：
雙方共同建立緊密戰略合作伙伴關係，在確保雙方利益前提下在各自拓展相關業務時互相提供對方所需的業務協同和技術支持以及其他必要之幫助。對於符合雙方各自經營範圍內的業務領域，雙方本着互惠互利、優勢互補及該協議所約定之合作原則同等條件下優先與對方進行合作。
雙方在智慧水利、智慧農業領域的合作是優勢互補的雙贏合作，公司嫁接市場、資金及規劃設計等資源，北京慧圖嫁接市場、技術、研發等資源，共同打造行業內規模最大、最具行業領導力的智慧水務龍頭企業。
雙方確認，將通過包括但不限於公司向北京慧圖增資、公司收購北京慧圖股東持有股份或其他合法的方式，實現最終公司控制並持有北京慧圖51%以上股份。雙方共同為北京慧圖的業務發展賦能，以推動北京慧圖業務發展。公司為北京慧圖的發展提供全面的資金和市場支持，公司的農業水利、安全飲水、環保工程及運營項目中涉及的信息化、智慧軟硬件業務應全部由北京慧圖承接。
此外，雙方確認，將共同努力推動北京慧圖實現證券化，包括但不限於獨立在境內或境外證券交易場所上市以及其他合法合規的證券化途徑。
北京慧圖是國內水行業信息化的專業龍頭公司，依託雲應用、大數據、物聯網、人工智能專注於為水行業客户提供透徹感知、全面物聯、整合共享、智能應用等智慧水利服務。大力發展“移動互聯網+智慧水務”的核心能力和產業佈局，業務領域已涵蓋智能節水灌溉、農村人飲安全、河(湖)長制、水庫安全、水及旱災害防禦、水資源管理、山洪災害等相關業務領域，具有智慧水務行業軟件研發與銷售、系統集成以及技術服務的全產業整合能力和競爭優勢。
公司表示，該框架協議的簽訂，有利於進一步加強公司在智慧水利、智慧農業方面的技術力量，提升公司在智慧水務方面的市場競爭力和影響力，有效促進公司業務全面、穩定增長，對公司的經營發展將起到積極作用。
