一汽夏利(000927.SZ)擬籌劃股權轉讓 一汽股份將控股權無償劃轉至鐵物股份
格隆匯12月8日丨一汽夏利(000927.SZ)發佈公告，公司於2019年12月5日晚收到控股股東一汽股份的緊急通知，一汽股份擬籌劃股權轉讓事項，可能涉及控制權變更。鑑於該事項存在重大不確定性，公司股票於12月6日開市起臨時停牌。12月6日下午，公司收到一汽股份通知，目前相關方案已達成初步意向。除涉及控制權變更外，還涉及上市公司重大資產重組事項。
公司控股股東一汽股份將持有的公司的控股股權無償劃轉至中國鐵路物資股份有限公司(以下簡稱“鐵物股份”)；公司現有全部資產、負債置出予公司控股股東指定的子公司，同時公司通過發行股份購買資產的方式購買中鐵物晟科技發展有限公司(以下簡稱“中鐵物晟”或“標的公司”)控股權，本次交易構成上市公司重大資產重組。
因有關事項尚存不確定性，經公司申請，公司股份自2019年12月9日開市時起停牌。公司預計在不超過10個交易日的時間內披露本次交易方案，即在12月23日開市前按照相關要求披露相關信息。若公司未能在上述期限內召開董事會審議並披露交易方案，公司證券最晚將於2019年12月23日開市起復牌並終止籌劃相關事項。
2019年12月6日，一汽集團、一汽股份、中國鐵路物資集團有限公司(以下簡稱“鐵物集團”)、鐵物股份與公司簽署了關於本次重大資產重組項目意向協議,為實現國有資產的保值增值，實現雙贏，經一汽集團、一汽股份與鐵物集團、鐵物股份共同協商，就對公司實施重大資產重組、支持鐵物集團實現資產證券化和長期發展達成意向。
本次重大資產重組整體方案由公司股份無償劃轉、重大資產置出及發行股份購買資產等三部分組成。根據相關規定，一汽股份將持有的公司的控股股權無償劃轉至鐵物股份。本次劃轉完成後，鐵物股份將成為公司的控股股東，公司的實際控制人仍為國務院國資委。公司的現有資產、負債和人員將全部置出或承繼至給一汽股份指定的子公司。
鐵物股份同意按照本協議確定的原則，向公司轉讓其所持有的中鐵物晟股權。鐵物股份承諾積極與中鐵物晟的其他股東溝通，爭取促成將中鐵物晟100%的股權轉讓給公司。公司將以非公開發行股份的形式向鐵物股份及中鐵物晟的其他股東購買中鐵物晟的股權。
