國際實業(000159.SZ)：中油化工擬6800萬元轉讓4家子公司100%股權
格隆匯12月6日丨國際實業(000159.SZ)公佈，為進一步優化資產結構，根據公司戰略發展需要，控股子公司新疆中油化工集團有限公司(“中油化工”)2019年12月6日與新疆明鼎中化石油銷售有限公司(“明鼎公司”)、自然人薛志文、何宗寧簽訂《股權整體轉讓框架合同書》及《股權轉讓合同書》，將持有的昌吉市星方商貿有限責任公司、烏魯木齊金達來化工有限公司、吐魯番市長盛石油有限責任公司、托克遜縣長信石油有限責任公司100%股權轉讓給明鼎公司、薛志文、何宗寧，其中明鼎公司受讓四家標的公司各40%股權，薛志文、何宗寧分別受讓四家標的公司各30%股權，交易總價格6800萬元，分期付款。
昌吉星方公司經營範圍：零售潤滑油、橡膠製品、汽車配件，日用百貨；汽車保養服務；設備租賃、自有房屋租賃等。中油化工於2011年6月以股權形式收購而來，持有其100%股權。主要業務及資產狀況：主營加油站一座，該站始建於2004年，加油站佔地面積6807㎡，房屋建築面積約3130.75㎡，在用雙槍加油機6台。
金達來公司經營範圍：汽油、柴油、潤滑油零售業務;燃料油、化工產品的銷售；房屋、設備、場地的租賃；地磅服務等。中油化工於2011年12月以股權形式收購而來，持有其100%股權。主要業務及資產狀況：主營加油站一座，該站始建於2001年，加油站佔地面積14956.36㎡，房屋產權建築面積1937.76㎡，加油站在用雙槍加油機6台。
吐魯番長盛經營範圍成品油零售、潤滑油零售；房屋、設備租賃等。中油化工於2011年7月以股權形式收購而來，持有其100%股權。主要業務及資產狀況：主營加油站一座，該站始建於2005年，加油站佔地面積8000㎡，房屋產權建築面積2343㎡，主要為加油站經營所用。加油站在用雙槍加油機5台。
托克遜長信經營範圍：汽油、柴油、潤滑油銷售；設備、場地、房屋租賃等業務。中油化工於2011年7月以股權形式收購而來，持有其100%股權。主要業務及資產狀況：主營加油站一座，該站始建於2006年，加油站佔地面積22920㎡，國有土地出讓所得，房屋產權建築面積723.82㎡，加油站在用雙槍加油機4台。
公司從聚焦主業發展考慮，此次剝離部分子公司資產，有利於公司優化資產結構，集中資金髮展公司主營業務。此次交易定價是以評估的淨資產值為基礎，協商確定。經初步估算此次股權轉讓對公司2019年度業績影響約2900萬元左右(該數值為公司預測數，最終以年度審計為準)。此次股權轉讓後，上述四家公司不再納入公司合併報表範圍。
