思創醫惠(300078.SZ)擬使用募集資金向醫惠科技增資5.15億元
格隆匯12月6日丨思創醫惠(300078.SZ)公佈，公司於2019年12月6日召開的第四屆董事會第十四次會議，審議通過了《關於使用募集資金向全資子公司增資用於實施募投項目的議案》，同意公司使用非公開發行股票募集資金約5.15億元向公司全資子公司醫惠科技有限公司(“醫惠科技”)進行增資，用於實施“物聯網智慧醫療溯源管理項目”及“醫療大數據應用研發中心”。其中2800.00萬元計入醫惠科技註冊資本，約4.87億元計入醫惠科技資本公積，此次增資完成後，醫惠科技註冊資本由6000.00萬元增加至8800.00萬元。
醫惠科技有限公司經營範圍：技術開發、技術服務、技術諮詢、成果轉讓:計算機軟、硬件、網絡設備,通訊設備,物聯網技術,計算機系統集成,工業自動化控制系統,網絡安全設備,人工智能技術,數據存儲技術,數據處理技術,醫療技術;服務:工業產品設計、產品外觀設計、會展會務、企業管理諮詢、以承接服務外包方式從事信息技術支持管理、軟件開發外包服務、第二類增值電信業務中的信息服務業務(僅限互聯網信息服務);承接:綜合網絡佈線工程,通訊工程,弱電工程【除承接(修、試)電力設施】(憑資質經營)、計算機網路工程;銷售:計算機軟、硬件及配件、網絡設備、通訊設備、智能自動化設備、機電設備、電子產品、服裝服飾、鞋帽、第一類醫療器械、第二類醫療器械;貨物進出口、技術進出口(國家法律、行政法規限制的項目除外,法律、行政法規限制的項目取得許可證後方可經營)。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
此次使用募集資金向全資子公司醫惠科技進行增資，是基於募集資金投資項目的建設需要，有利於保障募投項目順利實施，符合募集資金使用計劃。募集資金的使用方式及用途等符合公司的發展戰略及相關法律法規的規定，不存在損害公司及股東特別是中小股東利益的情形。醫惠科技是公司的全資子公司，公司對募集資金後續使用的行為具有控制權，財務風險可控。
