武漢凡谷(002194.SZ)：產業投資基金對外投資設立子基金 主投新一代信息技術等新興產業中具備良好投資價值的相關公司
格隆匯12月6日丨武漢凡谷(002194.SZ)公佈，公司分別於2019年4月12日和2019年4月24日召開了第六屆董事會第十八次(臨時)會議和2018年度股東大會，會議審議通過了《關於設立產業投資基金暨關聯交易的議案》，同意公司與深圳市恆信華業股權投資基金管理有限公司(“恆信華業”)合作成立產業投資基金——平潭華業聚焦投資合夥企業(有限合夥)。
2019年5月16日，上述產業投資基金完成工商註冊登記手續，名稱為平潭華業聚焦二號股權投資合夥企業(有限合夥)(“華業聚焦”)；2019年6月19日，華業聚焦按照《證券投資基金法》和《私募投資基金監督管理暫行辦法》等法律法規的要求，在中國證券投資基金業協會完成了備案手續，並取得了《私募投資基金備案證明》，備案編碼：SGS358。
近日，公司收到華業聚焦通知，根據發展需要，其與深圳市恆信華業股權投資基金管理有限公司、蘇州市吳中金融控股集團有限公司、蘇州吳中金璟玥智能製造產業投資合夥企業(有限合夥)、嘉鼎創業投資(平潭)合夥企業(有限合夥)、袁德宗、黃曉玲、俞補孝、俞葉曉、俞利華、許一飛、王琛、夏廬生、陳弘、汪文政共同發起設立了蘇州深信華遠創業投資合夥企業(有限合夥)(“子基金”)，子基金規模為3億元人民幣。截至目前，子基金已完成工商註冊登記手續，取得了由蘇州市吳中區行政審批局核發的營業執照，並且按照《證券投資基金法》和《私募投資基金監督管理暫行辦法》等法律法規的要求，在中國證券投資基金業協會完成了備案手續，取得了《私募投資基金備案證明》。
華業聚焦此次對外投資符合基金設立的目的和公司發展戰略目標，屬於其正常投資經營行為。新設立的子基金主要對新一代信息技術等新興產業中的具備良好投資價值的相關公司進行股權投資，不會損害公司及股東利益，對公司本年度的財務狀況和經營成果不會產生重大影響。
