江山控股(00295.HK)擬4.46億元出售定邊昂立光伏科技全部股權及股東貸款
格隆匯12月5日丨江山控股(00295.HK)公告，於2019年12月5日，公司全資附屬江山永泰投資控股有限公司為賣方、買方國投電力控股股份有限公司及項目公司定邊縣昂立光伏科技有限公司訂立協議，據此，賣方有條件同意出售而買方有條件同意收購項目公司全部股權及股東貸款利益，總代價約為人民幣4.46億元(可根據過渡期審核予以調整)。
於出售事項完成後，項目公司將不再為公司附屬公司，其財務報表將不會於本集團財務報表綜合入賬。
項目公司主要從事開發、建設及營運昂立項目。昂立項目已完成建設及開始發電，發電廠亦已連接電網。買方為於中國成立的公司，其股份於上海證券交易所上巿，股票代號為600886，主要從事投資、建設、營運及管理集中於發電的能源項目。買方的最大最終實益擁有人為國務院國有資產管理監督委員會。
公司一直積極考慮有助加強本集團的核心業務及降低財務費用的創新商機。出售事項為本集團的長遠輕資產策略。董事認為，出售事項乃本集團變現其於項目公司的投資的良機，以便更有效分配本集團的資源、優化營運模式、提升太陽能發電廠設備效率，並加快轉型為輕資產模式的步伐。
出售事項亦將降低本集團的資產負債比率，原因如下︰(i)出售事項所得款項淨額將用作償還現有債務，以降低本集團的財務費用；及(ii)項目公司產生的相關債務將於出售事項完成後不再併入本集團的財務報表。通過利用出售事項所得款項淨額償還債務，餘下集團可以從每年節省財務費用不少於約人民幣3000萬元中獲益。
儘管項目公司有利可圖，惟與其他項目公司相比，其資本及經營開支大多由本集團不時提供的免息股東貸款提供資金。出售事項將解除餘下集團作為項目公司股東的持續承諾，其中包括向項目公司提供股東貸款，有關貸款乃由余下集團按現行市場費率產生的借款提供資金。董事認為，此等對本公司的裨益長遠可能超越變現出售事項淨虧損帶來的影響。
此外，於出售事項完成後，連同完成出售九(9)間項目公司，公司將繼續擁有34座已建成的太陽能發電廠，總裝機容量達1278.8兆瓦。公司將繼續從事太陽能發電廠業務，連同(a)透過其餘下太陽能發電廠及兩間建設中的太陽能發電廠進行太陽能發電及向電網公司銷售電力；及(b)透過本集團旗下工程師及維護人員工作團隊，向第三方(包括本集團所出售多間項目公司)提供太陽能發電廠運營及維護服務。有關餘下集團運營及管理的管理團隊(出售事項完成後)不會因出售事項而有所縮減。太陽能發電業務為資本密集型產業，極為依賴外來融資，從而為建設太陽能發電廠提供資金，而資本投資需要一段長時間方能收回。
集團太陽能發電廠延遲列入可再生能源電價附加資金補助目錄或名列補助目錄的太陽能發電廠延遲收取可再生能源補貼可對本集團的業務、財務狀況、現金流量及經營業績構成重大不利影響。為應對資產負債風險，集團將密切關注市場動態，並避免對本集團作出任何不利變動。集團一直積極尋求機會以轉型為輕資產模式，藉以優化其財務結構及降低其資產負債比率。出售事項為本集團實行其輕資產策略的良機。
