東華科技(002140.SZ)聯營體簽訂老撾鉀肥項目EPC總承包框架協議
格隆匯12月5日丨東華科技(002140.SZ)公佈，2019年12月5日，公司與中國武夷實業股份有限公司(“中國武夷”)作為聯營體承包商(“承包商”)，與業主方FYI資源有限公司(“FYI公司”)及寰球鉀鹽公司(“GPC公司”)在福建省福州市簽署的《老撾鉀肥項目地上加工工程設計、採購、施工總承包框架協議》經各方蓋章後正式生效。框架協議由第三方九土木工程有限公司予以見證。
該框架協議約定業主方委託承包商承擔FYI/GPC公司老撾120萬噸/年鉀肥項目地上加工工程(Package2)(“該項目”)FEED(前端工程設計)及設計、採購、施工(EPC)工作。框架協議項目前端設計(FEED)暫定價格為800萬美元，按協議簽署日的匯率6.9947元/美元計(下同)，摺合人民幣約0.56億元，公司佔100%；EPC總承包合同暫定價格為8.9億美元，摺合人民幣約62.25億元，其中：中國武夷份額佔51%，即31.75億元，公司佔49%，即30.50億元。協議有效期為5年。
該框架協議約定，該項目包括選礦裝置、加工裝置、造粒和倉儲裝置及取水裝置和其他公用工程、生活設施等。地下采礦工程(Package1)將由其他獨立的承包商來完成，但其所需的公用工程部分由Package2承包商統一完成。框架協議條款僅針對由承包商承擔的地上加工工程建設(Package2)。
公司負責Package2的前端工程設計(FEED)等工作；承包商負責該項目的總體實施策劃、項目管理、詳細工程設計、設備和材料採購、施工、安裝、單機試車、聯動試車，並提供投料試車和性能考核與裝置性能考核期間的技術支持。承包商工程範圍和工作範圍將在總承包合同中具體界定。
該框架協議前端設計(FEED)暫定價格摺合人民幣約0.56億元，公司佔100%；總承包合同暫定價格摺合人民幣約62.25億元，公司佔49%，即30.50億元。兩項合計為31.06億元，協議有效期為5年，年均合同額約佔公司2018年度經審計營業收入的15.40%。
該框架協議的簽訂及履行，有利於公司拓展老撾等國家的工程市場，有助於公司國際工程業務的穩定發展。
