萬通智控(300643.SZ)就購買H&T集團旗下的Westfalia Metal Hoses Group相關的股權資產及非股權資產完成工商變更
格隆匯12月4日丨萬通智控(300643.SZ)公佈，2019年4月2日(歐洲中部時間)，公司及其全資子公司CORE CORE盧森堡公司、CORE德國公司與Heitkamp & Thumann KG及其關聯企業Westfalia Metallschlauchtechnik Verwaltungs-GmbH、Westfalia Grundstücks-GmbH & Co. KG(以下合併簡稱“H&T集團”)，簽署了附生效條件的《股權及資產購買協議》。
根據《股權及資產購買協議》，公司及CORE盧森堡公司、CORE 德國公司作為收購主體，以支付現金的方式購買H&T集團旗下的Westfalia Metal Hoses Group相關的股權資產及非股權資產。
公司分別於2019年4月2日召開第二屆董事會第四次會議、2019年7月8日召開第二屆董事會第八次會議、2019年8月23日召開2019年第一次臨時股東大會，分別審議並通過了此次重大資產購買的相關議案；2019年9月30日(歐洲中部時間)，公司與交易對方簽署了《交割備忘錄》。
截至公告日，此次重大資產購買涉及的標的股權與資產的商業過户登記情況如下：
此次重大資產購買之標的公司維孚貿易(上海)有限公司(WSC)已辦理完股權過户的工商變更手續，變更完成後，公司持有維孚貿易(上海)有限公司(WSC)100%的股權，上海市市場監督管理局核發了新的《營業執照》(統一社會信用代碼：913100007856464840)。
此次重大資產購買之標的維孚金屬製品(上海)有限公司(WSS)已辦理完股權過户的工商變更手續，變更完成後，公司持有維孚金屬製品(上海)有限公司(WSS)100%的股權，上海市市場監督管理局核發了新的《營業執照》(統一社會信用代碼：91310115586779946A)。
此次重大資產購買之標的Westfalia Metallschlauchtechnik GmbH & Co. KG（WSH）的100%權益轉讓及原普通合夥人辭任已通過商業登記，手續完成後，公司全資控股子公司WestfaliaMetalHosesGmbH（原CORE Mainstream Germany GmbH，現持有德國《商業登記證》編號：HRB12008）與WSH完成吸收合併，繼承所有的資產及法律義務。
此次重大資產購買之標的Westfalia Metal s.r.o.已經完成當地商業登記處變更手續，變更完成後，公司控股子公司Westfalia Metal Hoses GmbH持有Westfalia Metal s.r.o.100%的股權。
此次重大資產購買之標的Westfalia, Inc.已完成公司登記簿新股東變更並取得了新的股權證書，變更完成後，公司控股子公司Westfalia Metal Hoses GmbH持有Westfalia, Inc.100%的股權。
此次重大資產購買之非股權資產所有權變更登記已完成。
