中超控股(002471.SZ)擬轉讓新疆中超62.5%股權及河南虹峯51%股權予何志東
格隆匯12月4日丨中超控股(002471.SZ)公佈，公司為確保公司持續、穩定發展，全面提高產業健康度，以“瘦身”的方式調整產業結構以減輕負擔、輕裝前行，擬將持有的新疆中超新能源電力科技有限公司(“新疆中超”)62.5%的股權、河南虹峯電纜股份有限公司(“河南虹峯”)51%的股權共計人民幣7060萬元的價格轉讓給何志東。其中，何志東受讓公司所持有的新疆中超62.5%股權，股權轉讓款為人民幣4000萬元；何志東受讓公司所持有的河南虹峯51%股權，股權轉讓款為人民幣3060萬元。轉讓完成後，公司將不再持有新疆中超、河南虹峯股權。
新疆中超新能源電力科技有限公司經營範圍：新能源風電電纜、光伏電纜、環保節能電纜、變頻電纜、高強度架空導線的設計、研發、製造、銷售、技術服務、成果轉讓；電線電纜、電纜材料、電纜附件、電力電氣設備器材的銷售；新能源電動汽車充電設施系統的設計、開發、銷售、施工、運營、維護管理；電線電纜的製造、研究開發、銷售、技術服務；輸變電設備、電工器材、化工產品及原料(不含危險化學品)、銅材、鋁材、鋼材、合金材料的銷售；自營和代理各類商品及技術的進出口業務(國家限制企業經營或禁止進出口的商品除外)。
河南虹峯電纜股份有限公司經營範圍：銅、鋁及鋁合金拉絲加工，電線電纜、橡套電纜、特種電纜、通訊電纜及塑料製品(不含塑料袋製品)的技術研究、製造和銷售；鐵質電纜盤具、木質電纜盤具的生產與銷售；從事貨物和技術進出口業務。(以上項目涉及專項行政審批的，未獲批准前不得經營)
公司出售新疆中超62.5%股權、河南虹峯51%股權，符合公司戰略發展規劃，有利於公司提高產業健康度，減輕負擔、輕裝前行，確保公司持續、穩定發展。
此次出售控股子公司股權將會產生處置損失，但考慮到公司目前的資金緊張，從子公司佔用資金的快速回籠以及對外地子公司管理不便的角度，長期看是符合全體股東和公司利益的。交易完成後，新疆中超、河南虹峯將不再納入公司合併報表範圍。
