威華股份(002240.SZ)解除對瑞盛鋰業的託管
格隆匯12月4日丨威華股份(002240.SZ)公佈，公司於2019年12月4日召開第六屆董事會第三十七次會議，審議通過了《關於解除對河源市瑞盛鋰業有限公司託管暨關聯交易的議案》，同意公司解除對河源市瑞盛鋰業有限公司(“瑞盛鋰業”)的託管。
2017年11月22日，公司與控股股東全資子公司深圳盛屯聚源鋰能有限公司（以下簡稱“聚源鋰能”）及聚源鋰能全資子公司瑞盛鋰業簽署了《託管協議》，聚源鋰能同意將瑞盛鋰業全權委託給公司進行管理。
公司子公司四川致遠鋰業有限公司(“致遠鋰業”)4萬噸鋰鹽項目的首條生產線於2018年3月底投產，在金川奧伊諾礦業有限公司(“奧伊諾礦業”)滿足致遠鋰業的原料需求前，公司通過託管瑞盛鋰業，並通過瑞盛鋰業從海外進口鋰礦石選礦產出鋰精礦，全部供給致遠鋰業，為致遠鋰業的生產提供原料保障。同時，公司將視奧伊諾礦業及其他原料來源的取得情況，決定對瑞盛鋰業的託管期限。通過上述託管，有效地避免了公司與控股股東的關聯交易。
鑑於目前致遠鋰業可以自行或通過公司從海外直接採購鋰精礦來滿足其生產所需，同時，公司資產重組事項已完成標的資產的交割過户，奧伊諾礦業已成為公司控股孫公司，並進入試生產階段。奧伊諾礦業投產後，其採選出的鋰精礦將用於致遠鋰業鋰鹽產品的生產。根據致遠鋰業目前的生產經營情況，公司預計後續不需要再通過瑞盛鋰業從海外進口鋰礦石原礦產出鋰精礦供給致遠鋰業，後續再進行託管已無必要。
根據2017年11月22日簽署的《託管協議》，託管期限為自協議生效之日起至2019年12月31日止，公司可視具體情況單方面決定終止託管。
因此，根據公司目前的實際情況及《託管協議》的約定，公司擬解除對瑞盛鋰業的託管。
在託管期間，瑞盛鋰業及公司控股股東、實際控制人不存在因此次託管事項佔用公司資金或損害公司利益的情形，此次解除託管，亦不會造成瑞盛鋰業及公司控股股東、實際控制人佔用公司資金或損害公司利益。
解除託管後，公司不再參與瑞盛鋰業的經營管理，瑞盛鋰業所有資產的所有權仍歸其所有，瑞盛鋰業所有債權債務由其享有及承擔，公司與瑞盛鋰業無債權債務關係，瑞盛鋰業不再併入公司合併報表範圍，其經營的風險/收益亦不再由公司承擔。同時瑞盛鋰業承諾解除託管後不再進行鋰礦石的加工、銷售業務。此次解除託管不會對公司生產經營及財務狀況產生重大影響，亦不存在損害公司及全體股東利益的情形。
