雅化集團(002497.SZ)擬處置原址廠區和庫區土地 補償額1.62億元
格隆匯12月4日丨雅化集團(002497.SZ)公佈,為進一步優化公司資產結構,有效盤活閒置資產和存量資產,優化土地資源配置,合理利用土地,公司擬對原址廠區和庫區土地共239.39畝進行處置。根據國家和地方有關法律法規及政策規定,經公司與雅安市自然資源和規劃局友好協商,確定由雅安市自然資源和規劃局以補償方式有償收回公司原址廠區和庫區土地,補償金額為1.62億元。
此次處置的資產包括公司原址廠區和庫區土地,位於北郊鄉,總面積239.39畝,其中廠區205.47畝(136981.4平方米),庫區33.92畝(22613.54平方米),土地使用權權證編號分別為:雅市國用(2009)1671號和雅市國用(2009)1672號,土地用途為:工業用地,賬面原值分別為1007.69萬元和132.04萬元,賬面淨值分別為634.84萬元和86.49萬元。
公司此次處置的土地為閒置的公司老廠區土地,公司已於2017年3月完成老廠區搬遷且在另外的生產基地建造了相應的生產線並已正常投入使用,此次土地處置事項不會影響公司正常的生產經營。
本次土地處置有利於盤活公司現有資產,改善公司財務狀況,預計交易實現後產生的税後淨利潤約為1.16億元(最終數據將以公司年度經審計的財務報告數據為準),將對公司2019年度淨利潤產生較大影響。此次交易不存在損害公司及公司股東利益的情況,此次土地處置所獲得的資金將對公司的現金流產生積極的影響
