景業名邦集團(02231.HK)擬發行4億股淨籌11.8億港元 預計12月5日上市
格隆匯12月4日丨景業名邦集團(02231.HK)發佈公告，公司擬發行4億股，發售價釐定為每股3.16港元，每手1000股，預計2018年12月5日上市。
根據香港公開發售初步提呈發售的發售股份獲小幅超額認購。已合共接獲7262份有效申請，認購合共7569.4萬股，相當於香港公開發售項下初步可供認購的4000萬股香港發售股份約1.89倍。由於香港公開發售超額認購少於15倍，發售股份自國際配售重新分配至香港公開發售並未受到影響。香港公開發售項下發售股份的最終數目為4000萬股發售股份，佔全球發售項下初步可供認購發售股份的10.0%。
就全球發售而言，公司已向國際包銷商授出超額配售權，可由穩定價格操作人(代表國際包銷商)自上市日期起在遞交香港公開發售申請截止日期(即2019年12月28日)後30天內隨時行使，要求公司根據國際配售按發售價合共發行及配發最多6000萬股額外股份(佔全球發售項下初步可供認購發售股份的15%)，以補足國際配售中的超額分配。
根據國際配售及基石投資協議，基於發售價每股發售股份3.16港元，各基石投資者(即加利投資有限公司及中洲企業有限公司)認購的發售股份數目已分別釐定為6329.1萬股及6329.1萬股發售股份，分別佔(i)全球發售項下初步可供認購發售股份總數約15.82%及15.82%；及(ii)緊隨全球發售完成後已發行股份總數約3.96%及3.96%。
基於最終發售價每股股份3.16港元，公司將自全球發售收取的所得款項淨額估計約為11.782億港元。其中，約60.0%將用作若干項目(分別為雲南騰衝的景業高黎貢小鎮一期、二期及三期、廣東肇慶的肇慶國際科創中心(A區及B區)、廣東清遠的景業雍景園一期、二期及三期，以及湖南株洲的景業山湖灣一期及二期)的開發成本；約30.0%將用於在目前營運所在省份收購土地；及餘下不超過所得款項淨額的10.0%，將用作集團的一般營運資金。
