雲賽智聯(600602.SH)董事會全票通過關於推進國企改革“雙百行動”落地實施方案暨聘用職業經理人的議案
格隆匯12月3日丨雲賽智聯(600602.SH)公佈，公司董事會十屆二十會議書面通知於2019年11月28日發出，並於2019年12月3日以通訊表決方式召開會議。會議審議並全票通過了《關於推進國企改革“雙百行動”落地實施方案暨聘用職業經理人的議案》。
在上海市國有資產監督管理委員會(“上海市國資委”)和上海儀電集團有限公司(“儀電集團”)的指導下，公司按照“雙百行動”主要目標“五突破一加強”推進綜合改革工作，確定了兩項改革重點：
1、完善法人治理結構，加強董事會建設，把董事會打造成為更加專業、專注的議事平台和決策平台。公司已經修改完善《關於黨委會議事工作規範》，並擬訂了《董事會和專業委員會監督考核制度》，以完善董事考核制度體系，加強監督考核。
2、全面推進職業經理人制度。擬訂“一制度一書二辦法”的職業經理人管理體系，包括《職業經理人管理制度》、《職業經理人年度、任期經營業績責任書》及二個辦法：《職業經理人選聘辦法》、《目標考核及薪酬管理辦法》。
公司擬訂了《改革創新發展容錯管理辦法》(草案)，明確改革容錯管理機構、適用範圍、工作程序、考評及應用等內容。
公司“雙百行動”落地實施方案已經通過儀電集團審核，並報備上海市國資委。
前階段，公司已完成對下屬四家企業領導班子成員市場化選聘經理人試點工作。目前，公司將分批啟動公司高級管理人員職業經理人市場化選聘工作。
為更好地推進和落實職業經理人競聘工作，公司擬成立競聘工作組，並授權競聘工作組對公司高級管理人員職業經理人開展競聘工作。競聘結果經黨委會前置，報董事會提名委員會審核，由董事會聘用為職業經理人。
公司根據國務院國資委提出的“雙百企業”五突破一加強的改革要求，結合公司亟需改革完善的重點，以健全法人治理結構和建立職業經理人制度為突破口，激發員工的積極性、創造性，釋放公司內生動力，增強公司市場競爭力，促進公司穩健長遠發展。
