長安汽車(000625.SZ)：新能源科技公司擬獲4名戰略投資者增資28.4億元 公司持股稀釋至48.9546%
格隆匯12月3日丨長安汽車(000625.SZ)公佈，2019年9月30日，公司全資子公司重慶長安新能源汽車科技有限公司(“新能源科技公司”)在上海聯合產權交易所公開掛牌，擬通過增資擴股引入不少於2家戰略投資者，公司放棄本次增資的優先認購權。
截至2019年12月3日，共有四家戰略投資者向上海聯合產權交易所遞交了投資意向登記材料，並繳納保證金。其中，南京潤科產業投資有限公司(“南京潤科”)繳納保證金人民幣3000萬元，重慶長新股權投資基金合夥企業(有限合夥)(“長新基金”)繳納保證金人民幣3000萬元，重慶兩江新區承為股權投資基金合夥企業(有限合夥)(“兩江基金”)繳納保證金人民幣2220萬元，重慶南方工業股權投資基金合夥企業(有限合夥)(“南方工業基金”)繳納保證金人民幣1000萬元，共計9220萬元。
2019年12月3日，長安汽車第七屆董事會第五十八次會議審議通過了《關於全資子公司以公開掛牌方式增資擴股暨公司放棄增資擴股優先認繳出資權的議案》，同意公司全資子公司新能源科技公司以資產評估報告為定價依據，引入南京潤科、長新基金、兩江基金、南方工業基金作為此次增資擴股的戰略投資者，公司放棄此次增資的優先認購權。
此次增資擴股以現金方式進行，南京潤科擬增資10億元，其中3634.795萬元計入註冊資本，96365.205萬元計入資本公積。長新基金擬增資10億元，其中3634.795萬元計入註冊資本，96365.205萬元計入資本公積。兩江基金擬增資7.4億元，其中2689.7483萬元計入註冊資本，71310.2517萬元計入資本公積。南方工業基金擬增資1億元，其中363.4795萬元計入註冊資本，9636.5205萬元計入資本公積。
此次增資完成後，新能源科技公司的註冊資本將由人民幣9900萬元增至人民幣20222.8178萬元，南京潤科將持有新能源科技17.9737%的股份，長新基金將持有17.9737%的股份，兩江基金將持有13.3006%的股份，南方工業基金將持有1.7974%的股份，長安汽車持有新能源科技公司的股權比例將由100%稀釋到48.9546%，喪失控制權，新能源科技公司將由公司全資子公司變為聯營公司。
此次增資旨在加速“香格里拉計劃”的佈局落地實施，實現公司長遠發展目標的需要。本次增資將引入優質社會資本，建立符合市場需求的法人治理機制、經營管理體制和運營機制，增強新能源科技公司核心競爭力，助推新能源汽車業務加速發展。此次增資不涉及職工安置事項。
此次增資完成後，公司持有的新能源科技公司的股權比例由100%下降為48.9546%，喪失新能源科技公司的控制權。公司在合併財務報表中對新能源科技公司股權按照喪失控制權日的公允價值進行重新計量，並採用權益法進行後續核算。此次交易在股東大會批准和工商變更登記完成後生效，此次交易生效後，預計放棄權利事項對合並報表產生的影響為增加淨利潤22.91億元，具體影響以公司年審審計師的審計結果為準。
