*ST中絨(000982.SZ)：轉增股票和待處置資產成交總價20.5億元 恆天金石代表聯合體與管理人當場簽訂成交確認書
格隆匯12月3日丨*ST中絨(000982.SZ)公佈，2019年12月3日，公司管理人在公司住所地(靈武市生態紡織產業園)組織現場競價活動。在債權人代表的監督下，公司管理人現場啟封全部意向受讓方自行密封的申購單，並當場宣讀了申購單的內容。由於截至競買登記手續最後辦理時間，僅有一家適格的競買人蔘與競買，公司管理人現場確定了聯合體為轉增股票和待處置資產受讓方。轉增股票和待處置資產成交總價為人民幣20.5億元，其中待處置資產成交價為人民幣10億元，轉增股票成交價為人民幣10.5億元。恆天金石代表聯合體與管理人當場簽訂了《成交確認書》，此次股票、資產競價處置所得價款將按照《重整計劃》規定用於公司償付債務、支付有關費用，以及補充公司生產經營所需資金。
根據管理人預製的統一格式的《承諾函》，聯合體應在簽署《成交確認書》後、不晚於2019年12月15日再向管理人賬户繳納競買餘款中的7億元(不含保證金)，最終不晚於2020年4月5日向管理人賬户繳納全部競買餘款。
在轉增股票方面，管理人正根據《重整計劃》及銀川中院出具的相關司法文書，辦理包括上述約9.81億股股票在內的資本公積金轉增股票的登記事宜。受讓方所得股票數量以實際登記情況為準。、
在資產方面，管理人將協助受讓方與中銀絨業辦理待處置資產的移交和過户手續，受讓方可指定第三方承接部分或全部待處置資產，管理人和中銀絨業將予以配合。
在恆天金石受讓轉增股票前，寧夏中銀絨業國際集團有限公司(“中絨集團”)持有中銀絨業26.68%的股權，為上市公司第一大股東；恆天金石通過旗下恆天聚信(深圳)投資中心(有限合夥)(“恆天聚信”)和恆天嘉業(深圳)投資中心(有限合夥)(“恆天嘉業”)合計持有中銀絨業21.85%的股權，為公司第二大股東。
根據轉增股票登記具體情況，如恆天金石按照前述轉增股票受讓明細最終獲得上市公司約1.7099億股股票的，則恆天金石直接持有和通過恆天聚信和恆天嘉業間接持有上市公司的股票合計將達到約5.6544億股，屆時恆天金石持股比例將超過公司現第一大股東中絨集團，成為公司控股股東。
