天橋起重(002523.SZ)：中車產投擇機將智能製造產業相關資產注入公司
格隆匯12月2日丨天橋起重(002523.SZ)公佈，公司近日收到控股股東株洲市國有資產投資控股集團有限公司(“株洲國投”)《關於央地企業聯合重組事項進展的告知函》，稱其與中車產業投資有限公司(“中車產投”)簽署了《中車產業投資有限公司與株洲市國有資產投資控股集團有限公司之合作框架協議》，《株洲市國有資產投資控股集團有限公司、株洲市產業與金融研究所有限公司與中車產業投資有限公司關於轉讓株洲天橋起重機股份有限公司股份之股份轉讓協議》和《株洲市國有資產投資控股集團有限公司與中車產業投資有限公司之一致行動協議》。現將《合作框架協議》主要內容公告如下：
(一)株洲國投參與中車產投增資項目。株洲國投同意按照公開掛牌遴選程序的規定時間參與中車產投增資項目，於中車產投增資項目掛牌結束之前向北京產權交易所提交相關增資項目申請材料並按時足額繳納保證金，株洲國投同意投資金額確定為人民幣10億元。
(二)株洲國投及其一致行動人協議轉讓天橋起重5%股權。通過協議轉讓，雙方建立更加深入的戰略合作關係，結成更緊密的資本紐帶，助力上市公司發展，實現雙方戰略協同。株洲國投及其一致行動人株洲市產業與金融研究所有限公司將協議轉讓天橋起重合計5%股權給中車產投。股權協議轉讓完成後，中車產投成為天橋起重第二大股東並獲得天橋起重一名董事席位，並將向天橋起重派駐高級管理人員。同時，中車產投同意與株洲國投成為一致行動人，確認在天橋起重股東大會會議及其各自董事在董事會中行使表決權時採取與株洲國投相同的意思表示。具體以雙方簽署的《股份轉讓協議》以及《一致行動協議》為準。
(三)中車產投擇機將智能製造產業相關資產注入天橋起重。為支持天橋起重產業升級並實現長遠發展，中車產投將加快形成支持天橋起重發展方案，並擇機將其旗下智能製造產業注入至天橋起重，幫助天橋起重實現產業升級，切實提高天橋起重資產盈利質量。
