亞太科技(002540.SZ)擬4054.31萬元出售位於無錫市金城東路333號的商業用房
格隆匯12月2日丨亞太科技(002540.SZ)公佈，公司於2019年12月2日召開第五屆董事會第四次會議審議通過《關於出售資產的議案》：同意公司根據業務發展和資產優化需要，將公司位於無錫市金城東路333號無錫市中國工業博覽園中博商務中心的房產出售給無錫市博南置業有限公司(“博南置業”)並簽署《房屋買賣合同》，同意按雙方共同聘請的具有相應評估資質的評估機構出具的評估價值人民幣約4054.31萬元作為交易定價，公司董事會授權管理層負責此次出售資產具體事宜。同日，公司與博南置業完成《房屋買賣合同》簽署，交易總價為約4054.31萬元。
此次交易標的為公司位於無錫市金城東路333號的商業用房。上述資產不存在抵質押、涉及訴訟、司法凍結等情況。
此次出售標的資產為公司2011年7月支付購置的作為公司綜合型總部辦公使用的商業房產，出售資產所得款項用於公司生產經營。隨着公司年產8萬噸輕量化高性能鋁擠壓材項目的建設投產、年產6.5萬噸新能源汽車鋁材項目建設進程的逐步推進，該兩個項目所在地無錫市高新區D24、D26地塊將成為公司未來在無錫地區的主要生產運營基地，原公司綜合型總部的運營決策和投資等職能辦公地相應調整。鑑於上述業務發展及相關調整，此次出售資產符合公司業務發展需要，有利於公司資產結構優化和管理效率進一步提升。
標的資產非公司生產用地，此次資產出售符合公司業務發展需要，有利於公司資產結構優化和管理效率進一步提升，不會對公司正常正產經營產生重大影響。
此次出售資產對公司2019年度淨利潤不產生影響；預計將對公司2020年度經營業績產生一定的積極影響，其中預計淨利潤增加約997.73萬元。但鑑於此次交易存在的後續履約等不確定因素，此次交易對公司淨利潤的影響及具體會計處理以後續會計師事務所審計意見為準。
