金盃電工(002533.SZ)擬競價收購湘電集團所持金盃電磁線15%股權
格隆匯12月2日丨金盃電工(002533.SZ)公佈，金盃電工電磁線有限公司(“金盃電磁線”)系公司控股子公司，註冊資本人民幣5億元，公司、湘電集團有限公司(“湘電集團”)分別持有其85%、15%的股權。
根據湖南省聯合產權交易所發佈的《金盃電工電磁線有限公司15%股權轉讓公告》(“《股權轉讓公告》”)，湘電集團將其持有的金盃電磁線15%股權在湖南省聯合產權交易所掛牌轉讓，掛牌價格為人民幣8302.88萬元，掛牌起始日期為2019年11月7日，掛牌終止日期為2019年12月4日。
為進一步提高對子公司的決策效率，加強公司對核心業務的整合，公司擬收購湘電集團持有的金盃電磁線15%股權，同時授權管理層以掛牌價格人民幣8302.88萬元參與競購，並辦理競購的相關手續。
金盃電工電磁線有限公司經營範圍：研發、生產、銷售電磁線、電線電纜及相關材料、電工用銅杆和其他金屬材料；研究、開發、轉讓絕緣材料及產品的高新技術；電力工程建設及安裝服務；銷售電機產品、建築材料、橡膠製品；新能源電機生產與銷售；道路普通貨物運輸；貨物與技術的進出口貿易；國家法律法規允許的其它產業投資(限以自有合法資金(資產)對外投資，不得從事股權投資、債權投資、短期財務性投資及面對特定對象開展受託資產管理等金融業務，不得從事吸收存款、集資收款、受託貸款、發放貸款等國家金融監管及財政信用業務)。(上述經營範圍中涉及許可經營的憑許可證經營)。
通過此次對交易標的的收購，公司可有效提高對子公司的決策效率，有利於加強線纜核心業務發展。此次交易為合併報表範圍內的控股子公司股權收購，不涉及人員安置、土地租賃等情況。此次交易資金來源為公司自有資金，不會對公司的財務狀況及經營成果產生重大影響，不存在損害公司及全體股東利益的情況。此次交易完成後，金盃電磁線成為公司全資子公司，不會導致公司合併報表範圍發生變化。
