京投交通科技(01522.HK)擬向樂碼仕智能科技增資1920.15萬元認購51%股權
格隆匯12月2日丨京投交通科技(01522.HK)發佈公告，2019年12月2日，公司全資附屬公司京投眾甫與目標公司、宋繼峯及北京樂碼仕科技有限公司(由宋繼峯全資擁有)訂立增資協議，據此協議，京投眾甫同意向目標公司增資人民幣1920.15萬元，認購目標公司約51%股權，其中人民幣728.57萬元將用作增加目標公司的註冊資本，而人民幣1191.58萬元將用作目標公司的資本公積。於增資認購事項完成後，目標公司將成為公司的附屬公司。
披露顯示，目標公司北京樂碼仕智能科技有限公司在中國成立，於公告日期及增資認購事項完成前，目標公司分別由樂碼仕科技及宋繼峯持股56%及44%。目標公司主要從事基於全生命週期管理理念的資產管理系統的開發及應用，為軌道交通運營商提供服務。軌道交通資產管理系統為管理軌道交通資產及其維護的綜合系統。它將軌道交通業務的生產域和管理域聯繫起來，實現軌道交通資產全生命週期管理。該系統的功能主要包括資產基本資料管理、資產轉移管理、存貨管理以及設備及車輛維護管理。
於公告日期及增資認購事項完成前，目標公司的註冊資本為人民幣700萬元，由宋繼峯及樂碼仕科技分別持股44%及56%。增資認購事項完成後，目標公司的註冊資本會增加至人民幣1428.570萬元，而京投眾甫、宋繼峯及樂碼仕科技將分別持有目標公司註冊資本的約51.00%、21.56%及27.44%。
根據增資協議，倘若目標公司未能於2020年、2021年和2022年12月31日止的年度內達到若干財務目標，京投眾甫有權要求宋繼峯、樂碼仕科技或指定第三方購買京投眾甫持有的全部目標公司股權。倘若京投眾甫行使該權利，按協議約定的回購價格不高於人民幣3250萬元。
董事會認為，隨着軌道交通相關的資產管理系統進入快速發展階段，本次增資認購事項將使集團收購目標公司的現有業務及相關技術，以便發展資產管理系統，並將根據集團有關智慧軌道交通相關業務的戰略規劃，拓展集團向客户提供的產品及服務。此外，鑑於目標公司於截至2018年12月31日止兩個年度的財務業績良好，公司認為增資認購事項將豐富集團的收入來源，為股東創造更大回報。
