中國智慧能源(01004.HK)接獲清盤呈請及法定要求償還書
格隆匯12月1日丨中國智慧能源(01004.HK)宣佈，於2019年11月19日，公司收到呈請人Haitong Global Investment SPC III(代表及為Haitong Dynamic Investment Fund II S.P.行事)於香港高等法院原訴法庭("高等法院")發出針對公司的呈請，內容有關因公司未能償還其債務，公司可能會被高等法院清盤。呈請涉及金額為1962萬美元，即公司向海通國際金融產品有限公司發行的可換股債券未償還本金額連同其應計利息。
呈請計劃將於2020年1月8日於高等法院聆訊。就呈請而言，和解協議已於2019年11月29日由(其中包括)呈請人與公司訂立，據此，經協定：(a)公司將向呈請人悉數支付款項2047.7583萬美元且公司有關可換股債券的所有責任最終達成和解；於簽署和解協議及收到呈請人首期和解金額時，訂約方應簽署同意傳票及採取任何必要行動以延期呈請，直至在並無訟費令之情況下，悉數支付和解金額；及呈請人於收到和解金額之全數付款時，應悉數免除及解除公司有關可換股債券之任何及所有申索及負債。
於公告日期，公司已支付首期和解金額且訂約方應簽署同意傳票以將呈請延期至向呈請人最終支付分期付款後之日。
另宣佈，於2019年11月14日，公司收到Cheer Hope根據(香港法例第32章)公司(清盤及雜項條文)條例第178(1)(a)條發出的法定要求償還，內容有關聲稱申索總金額2640.1747萬美元，即(其中包括)公司向Cheer Hope發行的票息債券未支付本金額連同其應計利息。倘公司未能於法定要求償還書送達日期後三個星期內償還債務，或會向公司發出清盤命令。
進一宣佈，於2019年11月11日，公司的間接全資附屬金昌迪生接獲甘肅錦泰日期為2019年10月11的仲裁呈請，原因為(其中包括)根據由(其中包括)金昌迪生與甘肅錦泰之間訂立的若干服務協議，金昌迪生一方及一名第三方聲稱的延期付款總金額為人民幣2198.55萬元。於2019年11月7日，金昌迪生的銀行賬户已被法院命令凍結上述案件的法律程序處於初始階段。
集團正就上述案件尋求法律意見及評估潛在影響。集團現正就和解及友好處理該事件與甘肅錦泰進行磋商。於公告日期，尚未就上述案件達成任何和解。
此外，集團已向宏祥提起訴訟，內容有關就根據宏祥與公司間接全資附屬公司德州妙理新能源有限公司訂立的日期為2015年8月28日的屋頂租賃協議及其日期為2017年6月6日的補充協議收回(其中包括)電費及滯納金合共人民幣1053.3130萬元。
