大唐西市(00620.HK)擬1.9億元收購多個文旅物業項目
格隆匯12月1日丨大唐西市(00620.HK)宣佈，於2019年11月29日，公司直接全資附屬大唐西市絲路投資發展擬關聯方大唐西市國際集團向收購目標公司香港大唐西市實業控股有限公司全部已發行股本，代價為人民幣1.9億元。根據購股協議，買方已同意承擔賣方的注資承諾，於完成後向大唐西市實業出資約人民幣1.165億元。
於2019年4月15日，大唐西市實業與西安銀行股份有限公司訂立擔保協議，內容有關就大唐西市置業所獲得的貸款提供擔保。大唐西市置業向西安銀行股份有限公司貸款，本金金額為人民幣3億元，並將其若干物業作為上述貸款的抵押。鑑於大唐西市實業和大唐西市置業為大唐西市投資的同系附屬公司及大唐西市實業的強大資產基礎，大唐西市實業就全額貸款人民幣3億元共同及個別提供擔保。同時，大唐西市投資與大唐西市實業訂立反擔保協議，內容有關以大唐西市實業為受益人就其於擔保協議項下的責任提供無條件、不可撤回、共同及個別反擔保。擔保安排將於完成後繼續。
於公告日期，目標公司透過其全資附屬公司間接持有大唐西市實業的註冊資本約69.97%，因此其持有物業約69.97%權益。大唐西市實業由大唐西市集團及大唐西市集團的高級管理層於2006年成立，累計資本投資為人民幣5000萬元。目標公司有注資承諾，透過其全資附屬公司，對大唐西市實業注入未付註冊資本人民幣1.165億元，代表目標公司佔大唐西市實業註冊資本總額的間接比例股權。根據購股協議，買方將於完成後承擔注資承諾。
大唐西市實業主要從事物業開發、物業管理，以及發展絲路國際文化中心。大唐西市實業擁有的物業位於中國陝西省西安市大唐西市及目前處於不同發展階段，包括持作銷售物業；發展中物業；及持作未來發展的物業。
其中，持作銷售物業分別指西市桃園的13個零售單位及西市桃園、西市佳郡及西市佳境其餘未售住宅單位、零售單位、酒店用途建築物及停車位，總建築面積約為23,836平方米。發展中物業將發展成總建築面積約133,845平方米的商業辦公綜合大樓，其中包括建築面積約47,831平方米的購物商場、建築面積約1,971平方米的零售辦公單位、建築面積約46,070平方米的辦公室及約730個停車位。於公告日期，大唐西市實業已就商業及辦公室樓宇進行平頂儀式，而該等辦公室單位的預售預期將於2020年上半年進行。大唐西市實業亦擁有部分五幅總地盤面積約12,689平方米的土地，其將發展成供商旅使用的商業、辦公及酒店綜合大樓。
集團的計劃為於中國的策略重地鞏固在文化相關房地產投資及發展的版圖。根據大唐西市實業的現有業務計劃，其物業計劃發展為全方位文化藝術品經營和文化藝術品金融及文娛綜合絲路國際文化中心。絲路國際文化中心由三大區域組成，包括：絲綢之路國際總商會西部總部大樓；藝術品中央商務區；及絲綢之路風情街歐洲段。公司認為建議收購事項能充分補足其企業目標。
