思捷環球(00330.HK)攜手慕尚集團成立合資公司 拓展大陸業務
格隆匯12月1日丨思捷環球(00330.HK)宣佈，公司間接全資擁有的附屬萬成資源與慕尚集團訂立一項合資協議，於2019年12月2日起生效。
根據合資協議的條款，慕尚集團與萬成資源已同意在中國大陸成立一家合資公司，目的是從事經營服裝、服裝配飾及合資方可能同意的其他Esprit品牌業務。合資公司註冊資本應為人民幣1億元，慕尚集投入人民幣6000萬元，持有60%權益。萬成資源投入4000萬元，持有40%權益。
合資公司的經營範圍將包括但不限於日用百貨、服裝和配飾、鞋帽、皮革製品、體育用品、化粧品的零售、批發、進出口以及佣金代理(拍賣除外)，並提供相關服務。為促進合資公司的業務發展，萬成資源須按合資協議的條款促使Esprit International訂立一項商標許可和轉讓協議以轉讓若干商標予合資公司。由簽訂商標協議及直至完成轉讓商標，合資公司根據商標協議的條款應可使用商標而無須支付商標授權費用。由完成轉讓商標予合資公司及直至2020年6月30日，合資公司須向萬成資源及其中國聯屬公司授予使用商標許可，以從事現有的業務。
2020年6月30日以後，萬成資源或其聯屬公司或Esprit International可繼續從中國採購附有任何商標的產品在中國以外銷售，以及合資公司須向萬成資源或其聯屬公司或Esprit International授予使用商標許可在中國與第三方被授權者就非核心產品繼續其現有的商標授權業務，直至之前與第三方進行的商標安排到期。在產品上使用商標乃作為集團的出口，及附有商標的產品所進行的貿易活動，而該等使用將不會被視為侵犯合資公司的商標權利。
中國一直是集團的策略計劃的重要支柱。合資方已簽署合資協議以協力管理集團在中國的業務。集團中國業務過度到合資經營模式預期於2020年6月30日完成，作為過度的一部分，集團將關閉若干店舖或者將餘下中國店舖的資產轉讓予合資公司。董事會認為此交易為Esprit品牌創造穩健的基礎以改善品牌相關性及加快增長。
