首長國際(00697.HK)募資近20億港幣,投資機構持續看好首鋼停車
格隆匯11月29日丨首長國際(00697.HK)公佈,於2019年11月29日,公司擬分別向京東源泉、首鋼控股發行15億股及行9333.33萬股新股,每股發行價0.3港元,分別籌得4.5億元及2800萬港元。
同日,公司擬向歐力士亞洲、Matrix Partners V及Matrix Partners V-A發行合計本金額為12.32億港元的可換股債券,初始換股價將為每股換股股份0.3港元。根據初始換股價計算並假設可換股債券按初始換股價獲悉數兑換,可換股債券將兑換為41.06億股換股股份。
股份認購事項及可換股債券認購事項的所得款項總額及所得款項淨額合共分別為17.10億港元及17.07億港元。公司擬所得款項淨額用作進一步擴大集團的停車資產經營管理業務及以城市更新為方向的私募基金管理業務,以及集團將來其他潛在投資。
據悉,首鋼控股為公司主要股東及首鋼集團(為公司控股股東)的全資附屬公司。京東源泉為領先數字科技公司京東數字全資附屬公司。歐力士亞洲為於紐約及日本兩地上市的大型環球金融機構歐力士集團的全資附屬公司。歐力士亞洲為大型本金投資公司,專注於多元化投資,包括私募基金、基金中基金、中國國有企業重組及結構性融資。其投資夥伴為環球大型金融機構及行業先驅。
此次發行股份及可換股債券是為主營業務的快速發展、集團提升市場份額而儲備和補充資金。相較於供股、公開發售與債務融資,集團選擇向戰略投資者發行股份和可轉債券進行融資的方式,是因為該種方式對集團來説更為有利,戰略投資者除為集團帶來資金之外,還可以與集團主營業務進行資源協同,更好地促進公司主營業務的全方面發展。
中國經濟正處於向存量物業改造更新的發展階段,核心城市的存量物業規模正在快速積累,城市更新市場潛力巨大。集團以新首鋼高端產業綜合服務區的優質資源稟賦為依託,通過搭建不動產基金的模式,積極參與改造、開發優質物業,積累了豐富產業經驗,並於今年度引入全國社保基金作為旗下不動產基金的重要投資人。集團將抓住中國內地核心城市的城市更新市場機遇,以期未來獲取更多優質項目。
