聖濟堂(600227.SH)：相關違規擔保事項已經消除
格隆匯11月29日丨聖濟堂(600227.SH)公佈，2019年11月2日，公司對外披露了《關於違規擔保事項核查情況的公告》。經公司自查，2014年，為了配合原大股東、現控股股東一致行動人貴州赤天化集團有限責任公司(以下簡稱：赤天化集團)國企產權制度改革，公司董事會於2014年11月10日審議通過《關於擬向控股股東提供貸款擔保的議案》，同意公司為赤天化集團向中國農業發展銀行赤水支行(以下簡稱：農發行赤水支行)申請的5.5億元貸款提供短期過渡性信用擔保(擔保期不超過1年)。2014年11月26日，公司股東大會審議通過。2014年11月27日，公司與農發行赤水支行簽訂了《保證合同》。由於當時合同經辦人的工作失誤，沒有對合同認真審核，導致出現公司董事會、股東大會審議通過為提供短期過渡性信用擔保(擔保期不超過1年)，而合同簽訂的擔保期限為2014年11月28日起至2021年11月27日的情況，構成了違規擔保。截止公告日，上述債權擔保項下的債權人與債務人尚有人民幣1.5億元未清償。
2019年11月28日，上述違規擔保事項已經消除，有關進展情況公告如下：
公司與上述債權擔保項下的債務人赤天化集團進行了積極溝通協商，並希望赤天化集團採用其他增信措施為上述貸款保證擔保。
2019年11月28日，經赤天化集團與農發行赤水支行友好協商，雙方簽訂了《抵押合同》。合同約定對上述債權擔保項下的債務，赤天化集團以其名下兩宗土地使用權(面積506905.72平方米)及其地上65宗房產(總建築面積35244.89平方米)、一棟商業辦公樓(總建築1839.49平方米)及5宗商業店鋪(總建築面積602.55平方米)，總估值為25785.79萬元的資產為此筆借款提供抵押擔保。同時自合同簽訂之日起，抵押權人與原保證人貴州聖濟堂醫藥產業股份有限公司(原名為“貴州赤天化股份有限公司”)2014年11月27日簽訂的保證合同失效。
